Canada's money services business (MSB) registration is one of the most discussed routes for crypto, FX and payment projects. It is popular because it is comparatively fast and does not require large regulatory capital. It is also widely misunderstood. An MSB registration with FINTRAC, Canada's financial intelligence unit, is an anti-money-laundering registration. It is not a banking, payment institution or securities licence, and it does not give access to markets outside Canada. This guide explains what it is and where its limits are. For licensing support, see financial and crypto licences.
Not legal advice. This is a general overview. Canadian federal and provincial rules change, and the right status depends on your exact services and clients. Work with Canadian counsel for your case.
What an MSB is
Under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act, a business is an MSB if it provides one or more of these services, among others:
- foreign exchange dealing;
- money transferring, including through an electronic network;
- dealing in virtual currencies, such as exchange or transfer of crypto;
- issuing or redeeming money orders, traveller's cheques and similar instruments.
Such businesses must register with FINTRAC before offering these services and renew the registration every two years.
Domestic and foreign MSBs
A domestic MSB has a place of business in Canada. A foreign MSB (FMSB) has no place of business in Canada but directs and provides MSB services to people or entities in Canada. Since June 2020, foreign MSBs serving Canadians must also register with FINTRAC and meet comparable obligations. Registering as a foreign MSB is not a way to serve the rest of the world under a Canadian umbrella; it is about serving Canada.
The compliance programme
Registration is the start. Every MSB must run a compliance programme that includes:
- a designated compliance officer;
- written, up-to-date policies and procedures;
- a documented risk assessment of the business and its clients;
- an ongoing training programme for staff and agents;
- an effectiveness review at least every two years.
On top of that come client identification, record keeping and reporting to FINTRAC: suspicious transactions, large cash and large virtual currency transactions of CAD 10,000 or more, international electronic funds transfers of CAD 10,000 or more, and the travel rule for transfers. FINTRAC examines MSBs and publishes administrative monetary penalties; registrations can be refused or revoked.
Step by step
| Step | What happens |
|---|---|
| 1. Scope | Define the exact services, clients, countries and flows; check whether securities or provincial rules also apply |
| 2. Entity and people | Corporate documents, ownership, directors, compliance officer |
| 3. Compliance programme | Policies, risk assessment, KYC procedures, training plan, reporting set-up |
| 4. FINTRAC registration | Online application with company, ownership and activity details |
| 5. Operation and banking | Bank or payment partner onboarding, transaction monitoring, reporting |
| 6. Ongoing | Renewal every two years, effectiveness reviews, updates when anything changes |
The FINTRAC review typically takes from several weeks to a few months, depending mainly on how complete and consistent the application is. Building a programme that actually works takes longer than filling in the form.
What an MSB registration does not allow
- It is not a securities registration. Crypto trading platforms that offer crypto contracts or hold client assets for Canadians fall under provincial securities regulation and need the corresponding registration and undertakings.
- It is not an EU authorization. Providing crypto-asset services in the European Union requires a MiCA CASP authorization. A Canadian MSB does not passport into Europe.
- It is not a bank or e-money licence. It doesn't allow taking deposits or issuing e-money.
- It doesn't guarantee banking. Banks and payment partners decide for themselves and often treat MSBs as higher risk.
Quebec and the payments rules
Quebec has its own licensing regime for money services businesses, administered by Revenu Québec, in addition to FINTRAC registration. And under the federal Retail Payment Activities Act, payment service providers that perform retail payment activities must register with the Bank of Canada. Check whether either applies before you launch.
Who an MSB route suits
- FX, remittance and payment businesses that serve clients in Canada.
- Crypto exchange or transfer services for Canadian clients that are not trading platforms under securities rules.
- Teams that are ready to run a real AML programme with a qualified compliance officer.
It suits less well projects whose main market is the EU, or projects that need a licence mainly as a label for marketing. For an honest comparison with the EU regime, see Canada MSB vs MiCA CASP. Country details are on the Canada page.
Common mistakes
- Treating the registration as a "licence" in marketing materials.
- A compliance officer who exists on paper only.
- Generic policies copied from templates that don't match the real business.
- Ignoring the travel rule and reporting thresholds.
- Serving clients in markets where the MSB status gives no right to operate.
Frequently asked questions
Is a Canadian MSB a licence?
It is a registration with FINTRAC under anti-money-laundering law, with ongoing obligations. It is not a prudential financial licence.
Is there a minimum capital?
There is no federal minimum capital for MSB registration. Banks, partners and other regimes may have their own expectations.
Do I need an office or staff in Canada?
A domestic MSB has a place of business in Canada. Foreign MSBs that serve Canadians register without one, but must still meet the obligations, including a compliance officer and reporting.
Can I serve EU clients with a Canadian MSB?
No. Crypto-asset services in the EU require MiCA authorization.
