Price and scope
Custom quote
A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.
Remote formation for residents and non-residents
Individual assessment: filing is electronic, but foreign identity codes, EEA-residence roles, PRH permits and a Finland representative can change the route.
For a resident
- A resident with Finnish identity/e-authentication can use the guided establishment service where all persons are eligible.
- Finnish-resident governance/contact can satisfy service-receipt obligations only if the role is genuine and registered.
For a non-resident
- A non-resident may own shares; persons without Finnish identity codes use the appropriate alternative filing and passport evidence.
- A non-EEA-resident board/MD configuration requires PRH permit analysis before filing.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- An electronic-only registry policy does not mean the simplified guided service accepts every foreign person.
- PRH permits are discretionary decisions and are not promised in advance.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
- Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
- A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.
Bank-ready onboarding
- KYB clearly identifies EEA-resident officers, any Finland representative, actual management and Finnish rationale.
- The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
- The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
- Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- Nordic-facing technology, SaaS and professional services with genuine Finnish business rationale.
- Operating subsidiaries with an EEA-resident governance solution or pre-approved PRH permit route.
- Founder teams able to maintain Finnish domicile, official contact and accounting/reporting.
Main company types
- Osakeyhtiö (Oy), a private limited company whose statutory minimum share capital may be €0.
- Julkinen osakeyhtiö (Oyj), a public limited company with minimum share capital of €80,000.
- Avoin yhtiö, a general partnership.
- Kommandiittiyhtiö, a limited partnership with general and silent partners.
- An osuuskunta, branch of a foreign organisation and private trader for suitable member/foreign/personal models.
Founders, directors & address
- A Finnish domicile/municipality and address/contact details, memorandum, articles, board and beneficial-owner data.
- An Oy may have zero share capital, but adequate operating funding and solvency duties remain.
- At least one ordinary board member and, separately, one deputy member must reside in the EEA, unless PRH grants a permit.
- A managing director residing outside the EEA requires PRH permission; residence, not citizenship, is decisive.
- If no registered officer/signatory resident in the EEA can receive service, a Finland-resident representative may be required.
Documents & KYC
- A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
- Current proof of residential address and tax residence for every person subject to verification.
- A transparent ownership chart through to natural persons; a corporate participant also provides an extract, constitutional documents, good standing and an investment resolution.
- A description of the activity, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
- Memorandum/articles, Finnish domicile/address, board/deputy/MD, signing powers, ownership and financial year.
- Finnish identity codes/e-authentication for the guided route or the alternative foreign-person filing documents and passport copies.
- A PRH permit application and certified enclosures where no qualifying EEA-resident officer is available.
- Certified corporate-founder records and Finnish/Swedish translations where required.
Formation process
- Conduct an individual review of Oy/Oyj/branch, the Finnish-ID route, EEA residence, PRH permits, representative, activity and tax links.
- Agree the memorandum/articles, domicile/address, board/deputy/MD, signing rights and beneficial owners.
- File through the appropriate online PRH/YTJ route and submit any permit/foreign-person attachments.
- After registration, complete beneficial-owner, tax/VAT/payroll, accounting and separate bank/EMI onboarding.
Indicative timeline
Individual assessment is mandatory: the identity route, EEA-resident officers or PRH permits, translations and registry review determine timing; account onboarding is not included.
Tax overview
- A Finnish Oy files corporate income tax; the current rate, deductions and innovation/group treatment are checked for the relevant period.
- VAT, payroll/social insurance and withholding depend on activities, personnel and distributions.
- Foreign effective management, permanent establishment and related-party dealings require separate analysis.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- Zero statutory capital does not remove operating-funding, solvency or bank KYB requirements.
- A bank/EMI independently reviews Finnish nexus, board/representative roles, UBOs, contracts and source of funds.
Annual obligations
- Annual financial statements are filed with PRH in the applicable format, with an audit where thresholds require it.
- Corporate tax, VAT/payroll filings and compliant accounting records.
- Current beneficial-owner and Trade Register details; official address/representative and governance are maintained.
Restrictions & risks
- A zero-capital Oy must not be presented as requiring no genuine funding or solvency planning.
- Board, deputy and managing-director residence tests are separate; satisfying one role does not cure another.
- Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
- The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
- Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.
Scope of support
- Individual coordination of PRH/YTJ, foreign-person forms, EEA governance/permits, the Finland representative and accountant/KYB hand-off.
- Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
- Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
- Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
- Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
