Remote formation for residents and non-residents

Selected forms are available through S24/PRS, but e-signatures, PESEL numbers, notarial documents or a representative depend on the structure and owner status.

Online — conditions apply

For a resident

  • A resident with an eligible electronic signature can use the digital workflow and local identifiers.
  • The local address, accounting, CRBR and tax registrations are arranged alongside incorporation.

For a non-resident

  • A non-resident may be a shareholder/director, but signature method, PESEL, translations and notarial form are checked in advance.
  • Banking depends on EU business rationale, local substance and source of funds; an account is not an automatic part of incorporation.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • S24 does not suit every bespoke structure; non-standard articles generally require a different process.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • We pre-check passports, proof of address, the UBO chart, source of funds/source of wealth and translations before filing with the registrar or bank.
  • We reconcile names, addresses, dates, ownership and signatures across forms to reduce repeat KYC/KYB requests and document returns.
  • We prepare a clear description of the activity, markets, counterparties, expected turnover and economic link to the selected GEO.

Bank-ready onboarding

  • Before applying, we match the company profile to a bank or EMI's eligibility criteria instead of sending the same pack to every provider.
  • We assemble one bank-ready data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and transaction flow.
  • We coordinate responses to compliance questions and help close legitimate requests quickly. Approval and timing always remain with the bank/EMI.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • IT, software, agencies and service companies with EU customers.
  • E-commerce, import/export and projects with Polish staff or warehousing.
  • Non-resident founders requiring a separate EU company and local infrastructure.

Main company types

  • Spółka z ograniczoną odpowiedzialnością (sp. z o.o.), the standard limited-liability form.
  • Prosta spółka akcyjna (PSA), a more flexible share-company form for selected startup scenarios.
  • Spółka akcyjna (S.A.), the conventional joint-stock company for larger capital, regulated and public-market scenarios.
  • Spółka jawna and spółka komandytowa, commercial partnerships with different allocations of partner liability.
  • A branch of a foreign entrepreneur, a registered establishment of the overseas company without separate legal personality.

Founders, directors & address

  • A sp. z o.o. may have one or more shareholders, but it cannot be formed solely by another single-shareholder sp. z o.o.
  • The minimum share capital of a sp. z o.o. is PLN 5,000; it needs a management board with at least one natural person.
  • A Polish registered office/address, PKD codes and an electronic filing channel are required; foreigners may need a PESEL and an accepted electronic signature.
  • UBOs are disclosed to the CRBR; certain activities require permits, concessions or sector registration.

Documents & KYC

  • A passport or other acceptable ID for every founder, director and ultimate beneficial owner (UBO).
  • Proof of residential address, usually issued within the previous three months; the reviewing party sets the exact validity period.
  • A transparent ownership chart through to natural persons and, for a corporate founder, its registry documents and authorised resolutions.
  • A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • Articles formed through the S24 template or an individual notarial deed, plus resolutions appointing the company bodies.
  • Polish address, PKD, capital, shares, representation rules and service addresses for management-board members.
  • For foreign corporate shareholders, current registry extracts, corporate approvals, apostille/legalisation and sworn translations as applicable.

Formation process

  1. Review ownership, activity, VAT/OSS, employees and licensing needs.
  2. Choose the S24 or notarial route and arrange the address, signatures and constitutional documents.
  3. File electronically with KRS and obtain NIP/REGON through the connected process.
  4. Complete applicable NIP-8, CRBR, VAT/ZUS registrations and prepare bank onboarding.

Indicative timeline

An indicative timeline is 1–3 weeks once signatures and documents are ready. The official target for a complete KRS application is 7 days, but notarisation, translations, VAT and banking extend the end-to-end process.

Tax overview

  • The standard CIT rate is 19%; a 9% rate may apply to qualifying small/new taxpayers subject to limits and exclusions.
  • VAT, withholding, transfer pricing and ZUS/payroll depend on operations, staff, group structure and counterparties.
  • A Polish tax adviser must confirm the tax model and treaty eligibility; incorporation alone does not create a relief.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • Banks request KRS data, articles, CRBR, UBO/director details, the Polish address, contracts, source of funds and expected transactions.
  • A particular bank may require physical presence or a qualified e-signature; an account does not follow automatically from incorporation.

Annual obligations

  • Full bookkeeping, annual financial statements and electronic filing with KRS.
  • CIT/VAT/JPK and payroll/ZUS filings as applicable, plus timely CRBR updates.
  • Corporate resolutions approving the accounts and maintenance of the address/e-Delivery channel.

Restrictions & risks

  • A formal address without genuine substance can complicate VAT, bank KYB and tax-residence evidence.
  • Foreign documents often require apostille/legalisation and sworn translation, affecting timing.
  • Complex or regulated activities may require approvals before operations begin.

Scope of support

  • Selection of sp. z o.o./PSA, coordination of the address, notary or S24 and preparation of the registration pack.
  • KRS coordination and NIP-8/CRBR/VAT hand-off to local specialists.
  • Bank KYB preparation and a compliance calendar; KRS, VAT-authority and bank decisions are not guaranteed.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
