Remote formation for residents and non-residents

Individual assessment: ASP describes remote registration with an electronic signature, but a non-resident without compatible credentials practically uses a notarised power of attorney and local representative.

Via representative

For a resident

  • A resident/signatory with a supported Moldovan electronic signature may use the published remote-submission process after pre-check.
  • A local-resident administrator is not a general requirement, but operational management and records must be available to the company.

For a non-resident

  • A non-resident may be a founder/administrator; passport, POA, foreign corporate status and UBO evidence undergo formal review.
  • Treaty exemptions from apostille/legalisation are checked by issuing country and are not assumed automatically.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • The email/e-signature route may require originals or follow-up identification; a representative cannot guarantee acceptance.
  • ASP registration does not guarantee regulated approval, a tax regime, work/residence or a bank account.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • Before signing, IDs, addresses, tax residence, name spellings, signatory powers and the UBO chart are reconciled throughout the pack.
  • For every issuing country, notarisation, apostille or consular legalisation, certified translation and the acceptable form of power of attorney are checked.
  • The representative and registry may require video identification, originals or additional evidence of source of funds and business purpose.

Bank-ready onboarding

  • KYB reflects the Moldovan commercial rationale, registered address, administrator control, funding and cross-border payment model.
  • The KYB pack covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
  • A bank or EMI independently assesses geography, sector, local nexus, substance and risk; incorporation and capital payment do not predetermine its decision.
  • Additional checks, a personal interview and onboarding timing remain at the selected financial institution's discretion.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • Single-member and multi-member SMEs with local or foreign ownership.
  • Companies with Moldovan employees, contractors, customers or regional operations.
  • Foreign founders prepared to provide state-language translations and a certified foreign corporate pack.

Main company types

  • Societate cu răspundere limitată (SRL), the main limited-liability form; capital is set in the articles, a member's share may not be below MDL 1 and stated capital is fully paid within six months.
  • Societate pe acțiuni (SA), a joint-stock company with separate capital, securities and governance rules.
  • General/limited partnerships and cooperatives are specialist forms with different liability/governance.
  • A branch of a foreign legal entity is not a separate limited-liability company.

Founders, directors & address

  • A genuine, lawfully used registered location in Moldova; an undefined or fictitious address is not accepted by ASP.
  • Founders, administrator, activity classification, capital/quotas, representation and beneficial owner are recorded on registration.
  • Foreign nationals and companies may be founders; a standard SRL has no general Moldovan-resident founder/administrator requirement.
  • Regulated activity requires the relevant prior approval/permit, whose existence is declared where required.

Documents & KYC

  • A passport or other acceptable ID for every member, director, signatory and ultimate beneficial owner (UBO), plus current proof of address and tax residence.
  • A transparent ownership chart through to natural persons; a corporate member also provides a recent extract, constitutional documents, signatory evidence and an investment resolution.
  • A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth with supporting evidence.
  • ASP application, founding decision, statute/constitutional act, administrator ID and beneficial-owner declaration.
  • Founder ID or a notarised power of attorney to the representative; the application is signed by the appointed founder/authorised person.
  • A foreign corporate founder provides a registry extract and constitutional documents in original or a notarised state-language translation.
  • Foreign public documents are consular-legalised or apostilled unless an applicable treaty removes that requirement.

Formation process

  1. Review the SRL/SA/branch choice, activity, address, founder/administrator eligibility, capital, UBOs and permits.
  2. Agree the name, articles, address, shares and administrator; prepare the POA, apostille/legalisation and Romanian/state-language translations.
  3. The representative files the ASP application, or the supported remote electronic-signature/email route is used after the pack is pre-checked.
  4. After incorporation, set up State Tax Service/accounting, VAT/payroll, UBO updates, licences and separate banking KYB.

Indicative timeline

ASP publishes statutory service windows for valid applications, but end-to-end timing depends on the name, address, POA, apostille/legalisation, translation, remote-signature compatibility and corrections; tax, licences and banking onboarding are not guaranteed within that period.

Tax overview

  • An SRL is a Moldovan taxpayer; corporate income tax and available SME/special regimes are assessed against current activity and eligibility, not selected automatically on incorporation.
  • VAT, electronic invoicing where applicable, payroll/social/medical contributions and withholding depend on turnover, operations, personnel and payments.
  • Corporate tax, VAT, payroll, withholding and transfer-pricing treatment follows the actual transactions, employees, related parties and current thresholds, not incorporation alone.
  • Effective management, permanent establishment, CFC rules and the owners' personal tax residence require a separate cross-border analysis.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • An MDL 1 minimum quota or small stated capital does not replace evidence of operating funds and a solvency plan.
  • A bank reviews the Moldovan nexus, genuine address, administrator control, non-resident UBOs, tax residence and flow geography.

Annual obligations

  • File financial statements and tax returns in the applicable form, and maintain source accounting documents and member/administrator resolutions.
  • Update the ASP State Register and beneficial-owner information when ownership, control, address or administrator changes.
  • Maintain accounting and corporate records, prepare annual accounts and file tax, VAT and payroll returns as applicable.
  • Keep the relevant registers updated for the address, officers, members, capital and beneficial owners.
  • Separately monitor licences, employment obligations, local substance and statutory record-retention periods.

Restrictions & risks

  • The remote ASP service requires a compatible electronic signature and pre-check; for many non-residents the representative route is more practical, but it does not remove original-document requirements.
  • The address must be genuine and acknowledged by the premises owner; a purely nominal address increases registry, tax and banking risk.
  • Incorporation does not disapply AML/KYC, UBO or sanctions screening by the registrar, notary, representative, tax authority or financial institution.
  • A formal address and nominal capital do not replace a genuine business purpose, adequate funding and demonstrable management.
  • Company registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.

Scope of support

  • Coordination of the ASP remote/representative route, Moldovan address, articles, legalised translations and State Tax Service/accounting hand-off.
  • Comparison of the entity form, ownership and governance model, tax links and local-substance requirements before documents are prepared.
  • Coordination of the registered address, licensed professional, power of attorney, apostille/legalisation and certified translation.
  • Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
  • Handover of the complete corporate pack to the accountant and creation of an accounts, tax, VAT, payroll, UBO, licence and registry calendar.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
