Remote formation for residents and non-residents

An OÜ can be managed digitally with an eligible e-ID/e-Residency; contact-person, address, tax and banking matters remain separate.

Fully online

For a resident

  • A resident generally uses an Estonian e-ID and a local address/management setup.
  • Local activity makes substance, tax and banking rationale easier to evidence.

For a non-resident

  • A non-resident with e-Residency can sign filings online; management outside Estonia generally requires a licensed contact person.
  • e-Residency is not a residence permit, tax residence or a bank-account guarantee.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • A bank/EMI independently assesses real activity, geographic nexus and sanctions risk regardless of e-Residency.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • We pre-check passports, proof of address, the UBO chart, source of funds/source of wealth and translations before filing with the registrar or bank.
  • We reconcile names, addresses, dates, ownership and signatures across forms to reduce repeat KYC/KYB requests and document returns.
  • We prepare a clear description of the activity, markets, counterparties, expected turnover and economic link to the selected GEO.

Bank-ready onboarding

  • Before applying, we match the company profile to a bank or EMI's eligibility criteria instead of sending the same pack to every provider.
  • We assemble one bank-ready data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and transaction flow.
  • We coordinate responses to compliance questions and help close legitimate requests quickly. Approval and timing always remain with the bank/EMI.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • SaaS, software, consulting and international digital services.
  • Distributed teams that benefit from electronic administration of an EU company.
  • Projects prepared for Estonian accounting and to evidence the place of effective management.

Main company types

  • Osaühing (OÜ), the most common private limited company for e-residents.
  • Aktsiaselts (AS), a public limited company with higher capital and more formal governance.
  • Täisühing (TÜ) and usaldusühing (UÜ), general and limited partnerships with different allocations of partner liability.
  • A tulundusühistu, a commercial association for members carrying on economic activity together.
  • A branch, the registered Estonian establishment of a foreign company rather than a separate legal person.

Founders, directors & address

  • At least one shareholder and management-board member; fully online registration requires signatories to use a supported Estonian digital ID.
  • Minimum OÜ share capital may be €0.01 per shareholder; below €2,500, shareholders retain the statutory potential liability for the unpaid difference.
  • A legal address is required. If the board is outside Estonia and a foreign address is used, a licensed Estonian contact person must be appointed.
  • A principal EMTAK activity and UBOs are declared; certain activities require a licence/notice.

Documents & KYC

  • A passport or other acceptable ID for every founder, director and ultimate beneficial owner (UBO).
  • Proof of residential address, usually issued within the previous three months; the reviewing party sets the exact validity period.
  • A transparent ownership chart through to natural persons and, for a corporate founder, its registry documents and authorised resolutions.
  • A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • Digital IDs/e-Residency for shareholders and board, name, EMTAK, financial year and articles.
  • Legal-address/contact-person agreement and appointment term where a contact person is mandatory.
  • Share-capital allocation, representation rights, UBOs and contact details for the e-Business Register.

Formation process

  1. Review OÜ suitability, team tax residence, VAT and licensing.
  2. Obtain digital IDs, select a licensed contact person/address and prepare registry data.
  3. All signatories execute the application, capital is confirmed and the filing is sent to the e-Business Register.
  4. Set up accounting, e-MTA, VAT where required and bank/EMI onboarding.

Indicative timeline

With valid digital IDs, incorporation often takes 1–3 business days. Obtaining e-Residency, arranging a contact person, additional registry checks, VAT and account opening are separate.

Tax overview

  • An Estonian company generally pays corporate income tax upon profit distribution rather than earning; at the review date the calculation is 22/78 of the net distribution.
  • VAT, payroll/social tax and taxes in another country depend on turnover, employees, permanent establishment and management location.
  • e-Residency does not change the owner's personal tax residence or guarantee that the company is taxable only in Estonia.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • An EEA bank/EMI reviews OÜ registry data, UBOs/board, source of funds, contracts, website and links to supported markets.
  • e-Residency does not provide an automatic bank account; each provider applies its own country and industry restrictions.

Annual obligations

  • An annual report is mandatory for every OÜ, including newly formed and dormant companies.
  • Ongoing accounting and applicable TSD/VAT/payroll filings.
  • Renewal of the contact person, current address/board/UBO data and monitoring of official e-notices.

Restrictions & risks

  • An expired contact-person appointment or overdue annual report can lead to fines and registry deletion proceedings.
  • Management from another country may create tax residence/PE and local payroll obligations there.
  • A digital company without evidenced activity and contracts often faces enhanced bank/EMI review.

Scope of support

  • OÜ suitability review and coordination of a licensed contact person/legal address.
  • Preparation of the registry application, ownership/board data and delivery of the corporate file.
  • Accounting/VAT hand-off and bank/EMI KYB; e-Residency, tax outcomes and account approval are not guaranteed.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
