EU company for a non-resident: how to choose the country

Why there is no single best EU country and how to compare legal form, VAT, substance, reporting, licences and banking.

The European Union is not one incorporation jurisdiction. Registration, capital, directors, VAT, licences and reporting are set by the individual country, so the business model comes first.

Six comparison questions

  1. where management decisions are actually made;
  2. who will be director and UBO;
  3. whether VAT is needed for customers and digital services;
  4. whether the activity is regulated;
  5. which annual accounts, bookkeeping and substance rules apply;
  6. which currencies, banks and payment providers are required.

Prepare before choosing

Have a product description, contracts or pipeline, ownership chart, addresses, IDs, source-of-funds evidence and a realistic payment forecast. VAT should not be registered “just in case”; the obligation depends on place-of-supply rules and turnover.
