Création à distance pour résidents et non-résidents
RES permits electronic formation, but a non-resident generally needs a RUT, Chile-resident representative and eligible signature/notarial execution.
Pour un résident
- A resident with a RUT/eligible signature can follow the RES workflow and then complete SII/municipal steps.
- Resident filing does not remove address, tax-start, accounting, licensing or banking review.
Pour un non-résident
- A non-resident may own 100%, but obtains a RUT and appoints an adult natural-person representative domiciled/resident in Chile.
- A power of attorney/foreign instrument undergoes apostille/legalisation and translation as required before signature/fiscal use.
- Not every foreign e-signature is accepted by RES; the eligible signing method is confirmed before filing.
- SII, municipal, regulated-licensing and banking steps remain outside formation approval.
- We reconcile RUT, power-of-attorney, RES, SII and representative authority to prevent mismatched ownership or signatures.
- Before filing, we pre-check IDs, proof of address, tax residence, the UBO chart, source of funds/source of wealth and translations.
- We reconcile names, addresses, dates, ownership, signatures and authority across forms to reduce returns and repeat KYC/KYB requests.
- We prepare a verifiable description of the activity, markets, counterparties, expected flows and the commercial rationale for the jurisdiction.
Dossier prêt pour la banque
- We prepare Chile business-rationale and operating evidence before selecting a bank/EMI and signatory route.
- We match the company profile to the selected bank or EMI's published and confirmed eligibility criteria before applying.
- We assemble one data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and the payment-flow map.
- We help address legitimate compliance questions but do not promise an expedited bypass of checks, a guaranteed account or a fixed onboarding time.
- Technology, services, e-commerce and regional sales with a genuine Chile/Latin America business nexus.
- A single-owner startup/subsidiary for which a flexible SpA suits future investors and share classes.
- A closely held partnership-like business through a Ltda or larger corporate governance through a closed/open S.A.
Principales formes de société
- A Sociedad por Acciones (SpA), a flexible share company permitting one shareholder and later investors/classes.
- A Sociedad de Responsabilidad Limitada (Ltda), a closely held partners' company with limited liability and a more restricted transfer regime.
- A Sociedad Anónima (S.A.), closed or open, a board-governed share corporation; open/regulated cases have an additional securities perimeter.
- An Empresa Individual de Responsabilidad Limitada (EIRL), a single-natural-person form without a co-owner structure.
- An agency/branch of a foreign company, the Chilean establishment of an existing overseas entity.
Associés, dirigeants et adresse
- A foreign investor may own 100% of a Chilean company; no local shareholder is required unless the activity has a special restriction.
- A non-resident individual/entity obtains a RUT and appoints an adult natural-person legal/tax representative domiciled/resident in Chile.
- RES/Tu Empresa en un Día supports electronic formation, but signatures require a Chilean RUT and an eligible advanced e-signature or notarial execution.
- The company states a Chilean address, purpose/activities, capital, ownership, administration and representative powers.
- After formation, Inicio de Actividades and tax registrations are filed with SII; a municipal patent, payroll and sector licences follow operations.
Documents et KYC
- A passport or other acceptable ID for every founder, director, manager, signatory and ultimate beneficial owner (UBO).
- Proof of residential address and tax residence; the registrar, agent, bank or other reviewer sets the document-validity period.
- A transparent ownership chart through to natural persons and, for a corporate participant, registry documents, good standing and authorised resolutions.
- A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
- The name, Chilean address, corporate purpose, duration, capital/shares or quotas, shareholders/partners and administrator/board.
- The RES electronic deed/bylaws or traditional public/private instrument and registry/publication documents as applicable.
- Apostilled/legalised foreign entity/power-of-attorney documents and Spanish translation; RUT and Chile representative acceptance/details.
- SII activity/address evidence, capital-contribution support and municipal/sector licensing documents.
Étapes de création
- Select an SpA, Ltda, S.A., EIRL or branch based on owners, fundraising, governance, tax and regulatory needs.
- A non-resident obtains a RUT, appoints a Chile-resident representative and approves the power-of-attorney/apostille/translation route.
- Prepare and execute an RES electronic constitution or use the traditional notarial/registry route for a bespoke structure.
- File SII Inicio de Actividades and establish electronic invoicing/accounting and municipal/licensing/payroll obligations.
- Bank/EMI onboarding begins after the RUT, entity and tax file, representative authority and business-evidence preparation.
Délais indicatifs
RES reduces registry mechanics for eligible signers, but a foreign RUT, power of attorney/apostille, notarial signing, SII, municipal licences and banking have separate timelines. The operational launch date depends on the complete case and is not guaranteed.
Aperçu fiscal
- The Chilean corporate regime, provisional payments, final-owner taxation and available elections depend on company size, owners and current tax rules.
- VAT, payroll/social security, municipal patents, withholding and customs apply according to products, services, employees and cross-border flows.
- Foreign-owner dividends, interest, royalties/services and treaty benefits require withholding, beneficial-owner and transfer-pricing analysis.
Aperçu général, sans constituer un conseil fiscal ou juridique personnalisé. Les règles sont revérifiées avant le dépôt.
Entrée en relation bancaire et paiements
- InvestChile identifies the corporate bank account as a separate key stage after legal/tax setup.
- A bank reviews the RUT, formation/bylaws, representative/signatories, UBOs, tax start, Chile nexus, contracts, source of funds and expected flows.
- Some providers require local/in-person action; company registration and representative appointment do not guarantee an account.
Obligations annuelles
- Statutory accounting, annual/monthly tax returns, electronic invoicing and SII information filings according to regime/activity.
- Shareholder/partner and board/administrator decisions, the share register and corporate amendments maintained under the selected form.
- Municipal patents, permits, payroll/social-security and sector renewals according to actual operations.
- RUT, legal-representative, address, ownership/UBO and foreign-investment data are updated upon applicable changes.
Restrictions et risques
- RES electronic formation without RUT/signature/representative planning is not a fully remote solution for a new foreign founder.
- Using a nominal resident representative without genuine authority, a control framework and compliance creates tax, governance and banking risk.
- Incorporation does not conceal ownership or disapply AML/KYC. Registered agents, registries, tax authorities and financial institutions may obtain and verify UBO information.
- The place of incorporation does not automatically determine tax residence. Effective management, permanent establishment, CFC, withholding and the owners' personal residence require separate analysis.
- Company registration does not grant a regulated-activity licence, immigration status or a bank account.
Étendue de l'accompagnement
- Coordination of the foreign RUT, Chile-resident representative, RES/notary, SII and municipal/accounting hand-off.
- Comparison of entity forms, ownership structure, tax links and substance requirements before filing.
- Coordination of the registered agent, notary or local representative, translations, apostille and the complete corporate file.
- Preparation of a bank-ready KYB data room and responses to legitimate compliance requests; approval and timing remain with the bank or EMI.
- Accountant hand-off and creation of an annual-return, BO, tax, licence and substance compliance calendar.
