Remote formation for residents and non-residents
A non-resident may begin remotely and act through a representative under a power of attorney. The digital workflow requires PINFL, OneID and compatible signing; parts of identification, translation and banking remain outside the registry portal.
For a resident
- A resident or person with PINFL, OneID and suitable electronic signing may use the available digital government services.
- A local representative confirms the filing channel, address requirements and collection of corporate documents.
For a non-resident
- A foreign founder may obtain PINFL through a consulate or authorised representative using the official route.
- A foreign corporate participant provides legalised or apostilled documents, translations and the full UBO chain.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- Remote filing does not remove originals, notarial steps, immigration or licensing requirements.
- A bank, licensing authority or electronic-signature provider may require in-person or video identification.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, we reconcile passports, residential addresses, tax residence, the ownership chain and beneficial-owner data across all documents.
- For a foreign corporate participant, we prepare a current registry extract, constitutional documents, resolution, ownership chart, apostille or legalisation and the required translations.
- Before incorporation, we review the proposed activity, foreign-ownership restrictions, licensing requirements and the place of effective management.
Bank-ready onboarding
- Company registration neither includes nor guarantees a bank or payment account.
- A financial institution independently reviews UBOs, source of wealth and funds, the business model, counterparties, payment countries, address, licences and the economic link to the jurisdiction.
- A bank may request originals, video identification or personal attendance by a director or UBO and may decline the application; approval and timing remain at the bank's discretion.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- IT, trading, manufacturing, consulting, logistics and service businesses with genuine Uzbekistan operations.
- A subsidiary of an international group with a transparent ownership and funding structure.
- Projects prepared to maintain a local address, accounting, tax reporting and separate sector permits.
Main company types
- A limited liability company (LLC or MChJ) is the standard private form; the new law permits one or more participants, capped at 50.
- A joint-stock company (JSC or AJ) is used for share capital and a more complex investment structure.
- A branch of a foreign legal entity is an establishment of the foreign company without separate legal personality; availability and accreditation depend on the activity.
- A representative office of a foreign company is not a separate limited-liability entity and is generally used for representative rather than full commercial functions.
Founders, directors & address
- An LLC may have one participant, but under the new law it generally cannot be wholly owned by another single-participant company, subject to the stated JSC exception.
- A company name, registered location and postal address, charter, capital, participants and a sole or collegial executive body are required.
- The new law does not set a general minimum capital for an ordinary LLC; a mandatory minimum may arise under the licensing rules for a specific activity.
- Each participant pays its contribution within the period set by the charter and no later than one year after state registration.
- The director may be a legally capable individual who need not be a participant. The new LLC law contains no general residence requirement, but a foreigner's PINFL, employment and immigration status are reviewed separately.
- Constitutional documents are prepared in the state language; registration does not replace an activity licence, permit, certification or notification.
Documents & KYC
- A sole-founder's resolution or founders' minutes, charter and details of capital, director, address and activities.
- Passports of foreign individuals, PINFL and OneID where the digital workflow is used, and translations into the state language.
- For a foreign corporate participant, a current registry extract, constitutional documents, resolution and UBO chart with apostille or legalisation and translation as applicable.
- Evidence of the postal or legal address and the premises provider's consent where required by the selected filing channel.
- A notarised power of attorney for the representative; for obtaining PINFL through a representative, my.gov identifies the passport and power of attorney as key documents.
Formation process
- Review the form and activity, foreign-ownership restrictions, licensing, tax regime, address and foreign-director requirements.
- Obtain PINFL for the required foreign persons through a consular office, Public Services Centre or representative using an available official route.
- Agree the name, participants, director, capital, address and charter under the new 2026 law.
- Prepare apostille or legalisation, translations and the power of attorney, then the representative files through a Public Services Centre or available electronic channel.
- After registration, establish corporate registers, tax, statistics, employment and immigration compliance and obtain required licences.
- Banking KYB is completed separately after preparing evidence of activity, UBOs, source of funds, address and director authority.
Indicative timeline
The my.gov portal describes automated registration of standard entities after a valid electronic filing, but that registry time excludes PINFL and OneID, apostille, translations, the power of attorney, cures, licences and banking. A non-resident project's timeline is confirmed after pre-check.
Tax overview
- An LLC keeps records under the current Tax Code; profit tax or an available special regime, VAT, withholding and payroll charges depend on turnover, transactions and status.
- Eligibility for turnover tax or another special regime is not assumed and must be tested against current thresholds, ownership and excluded activities.
- Remote management, intra-group services, imports, exports and payments to non-residents require a separate residence, PE, customs, withholding and transfer-pricing analysis.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- Banks generally need PINFL and identification for the director and UBOs, corporate documents, address, source of funds, contracts and an economic rationale for Uzbekistan operations.
- A PINFL and registration certificate allow KYB to begin but do not mean automatic account approval.
Annual obligations
- Hold the ordinary annual general meeting and approve annual results within six months after the financial year ends.
- Maintain accounting and tax records, retain source and corporate documents and file applicable tax and statistics returns.
- Update address, director, participant, capital and UBO details and comply with major and interested-party transaction rules.
- Renew licences, employment and immigration documents and complete sector reporting for the actual activity.
Restrictions & risks
- A new LLC law has applied since 22 July 2026; templates and references based on the repealed former law require replacement and legal review.
- Fast automated portal registration is a registry-processing time, not a promise of full non-resident business launch.
- PINFL and OneID do not replace a power of attorney, apostille, translation, licence, immigration authority or banking KYB.
- A mismatch between actual activity and registered codes, a formal address or an undisclosed ownership chain creates registry, tax and banking risks.
Scope of support
- Select an LLC, JSC, branch or representative office and review the form under the new law, activity, licensing and tax model.
- Coordinate PINFL, apostille or legalisation, translations, charter, resolutions, power of attorney and registry filing.
- Provide a post-registration compliance map and bank-ready KYB pack without guaranteeing a licence, tax regime or bank account.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
