Remote formation for residents and non-residents

State filing is completed remotely; the EIN, foreign qualification, licences and banking may require additional channels and time.

Online β€” conditions apply

For a resident

  • A resident selects the state based on actual operations, employees, sales tax and local licences.
  • An SSN/ITIN and US address can simplify selected EIN and banking workflows but do not replace entity/KYC documents.

For a non-resident

  • A non-resident may own a Delaware LLC or C-Corporation; an S-Corporation has separate shareholder restrictions.
  • A registered agent, EIN pack and analysis of the foreign owner's federal/state filings are needed before operations begin.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • FinCEN/BOI, tax and state rules change; applicability is rechecked on the filing date.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • We pre-check passports, proof of address, the UBO chart, source of funds/source of wealth and translations before filing with the registrar or bank.
  • We reconcile names, addresses, dates, ownership and signatures across forms to reduce repeat KYC/KYB requests and document returns.
  • We prepare a clear description of the activity, markets, counterparties, expected turnover and economic link to the selected GEO.

Bank-ready onboarding

  • Before applying, we match the company profile to a bank or EMI's eligibility criteria instead of sending the same pack to every provider.
  • We assemble one bank-ready data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and transaction flow.
  • We coordinate responses to compliance questions and help close legitimate requests quickly. Approval and timing always remain with the bank/EMI.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • SaaS, software, e-commerce and international service companies.
  • Ventures targeting US investors, for which a Delaware C-Corporation is more commonly suitable.
  • Owner-managed businesses for which LLC flexibility is appropriate after tax analysis.

Main company types

  • Delaware LLC, a flexible form governed by an operating agreement, with tax classification depending on ownership and elections.
  • Delaware C-Corporation, a stock structure commonly preferred for option plans and institutional investment.
  • A Public Benefit Corporation (PBC), whose charter states a specific public benefit alongside profit objectives.
  • Limited Partnership (LP) and Limited Liability Partnership (LLP) structures for funds, professional practices and joint ventures.
  • A Statutory Trust, a specialist structure for funds, securitisation and selected investment mandates rather than a standard operating company.

Founders, directors & address

  • Every Delaware entity must maintain a registered agent with a physical address in Delaware.
  • An LLC may have one or more members; a C-Corporation establishes a board, officers, authorised shares and cap table.
  • An IRS EIN is generally needed after the state filing. The process depends on the responsible party's residence and filing channel.
  • Delaware incorporation does not replace foreign qualification, licences, sales/payroll taxes or other obligations in states where the business actually operates.

Documents & KYC

  • A passport or other acceptable ID for every founder, director and ultimate beneficial owner (UBO).
  • Proof of residential address, usually issued within the previous three months; the reviewing party sets the exact validity period.
  • A transparent ownership chart through to natural persons and, for a corporate founder, its registry documents and authorised resolutions.
  • A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • A Certificate of Formation for an LLC or Certificate of Incorporation for a corporation.
  • An operating agreement or bylaws, incorporator/board actions, share issuances and a cap table.
  • EIN application data, applicable US mailing details and responsible-party information.

Formation process

  1. Choose the state and entity form based on funding, owner tax status, team and markets.
  2. Appoint a registered agent, clear the name and file the formation document.
  3. Complete internal resolutions and ownership records and apply for an EIN.
  4. Check additional state registrations and prepare the banking/KYB pack.

Indicative timeline

State filing commonly takes from a few hours with expedited service to several business days. An EIN for a foreign responsible party, foreign qualification and banking onboarding can add several weeks.

Tax overview

  • An LLC is not automatically tax-free: federal classification may be disregarded entity, partnership or corporation, and foreign owners may have separate filings.
  • A C-Corporation is subject to federal corporate income tax; Delaware franchise tax and taxes in operating states must also be reviewed.
  • Sales tax, payroll, withholding and international information returns depend on operations. A US tax adviser should review the setup before transactions begin.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • The provider reviews the EIN, formation documents, operating agreement/bylaws, UBOs, US nexus, contracts, website and source of funds.
  • Some banks require physical presence, an SSN/ITIN or a verified US address; fintech eligibility rules may change without notice.

Annual obligations

  • Delaware corporations file an annual report and pay franchise tax; LLCs pay their Delaware annual tax by a separate deadline.
  • Federal and state tax returns, information returns and registered-agent renewal as applicable.
  • Maintenance of the cap table, minutes/consents, licences and registrations in operating states.

Restrictions & risks

  • Choosing an LLC without analysing the owner's tax residence can create unexpected filings or double taxation.
  • FinCEN beneficial-ownership rules have changed; BOI applicability must be checked on the formation date rather than from old guidance.
  • A Delaware entity may need to register and pay taxes in another state due to employees, an office, inventory or sales.

Scope of support

  • LLC/C-Corporation comparison and coordination of the selected Delaware registered agent.
  • Formation filing, a basic corporate book and preparation of EIN application data.
  • KYB pack and US tax-adviser hand-off; the EIN, account and individual tax outcome are not guaranteed.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
