Remote formation for residents and non-residents
Registry filing is electronic, but a typical non-resident uses a local eligible filer/QES and separately arranges statutory mailbox access.
For a resident
- A resident with compatible eID/QES can sign local electronic filings and mailbox actions.
- The local office/trade authorisation must match actual activity.
For a non-resident
- A non-resident may be a shareholder/executive, but the local filer and mailbox access are planned in advance.
- Foreign documents and executive declarations undergo certification/translation review.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- An electronic register does not mean the foreign executive personally has a compatible login.
- Trade, mailbox, tax and bank steps are not combined into one guaranteed workflow.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
- Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
- A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.
Bank-ready onboarding
- The bank pack explains local-filer/mailbox roles and identifies who genuinely manages and signs.
- The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
- The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
- Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Founders, directors & address

- An s.r.o. has €5,000 capital; contributions and the administrator declaration are documented under the selected incorporation route.
- There is no general resident-executive requirement, but the executive must meet eligibility/integrity rules.
- The registry application is filed electronically with a qualified signature by an eligible filer/representative.
- A domestic legal entity receives a mandatory electronic mailbox; a foreign executive must arrange authentication or authorised access.
Documents & KYC
- A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
- Current proof of residential address and tax residence for every person subject to verification.
- A transparent ownership chart through to natural persons; a corporate participant also provides an extract, constitutional documents, good standing and an investment resolution.

- Obtain trade authorisation and prepare foundation/registry documents with a qualified-signature plan.
- An eligible filer submits the electronic Commercial Register application and addresses legitimate registry queries.
- Activate mailbox access, tax/VAT, UBO/accounting and separate bank/EMI onboarding.
Indicative timeline
Timing depends on trade authorisation, office, QES/representative, capital documents and foreign-executive mailbox setup; banking remains separate.
Tax overview
- A Slovak company files a corporate income tax return; rates/thresholds and relief are determined for the relevant period.
- VAT, payroll/social/health contributions and withholding depend on transactions, staff and payments.
- Foreign management and related-party flows require PE, residence and transfer-pricing review.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- Contribution evidence for incorporation and the operating bank account are separate compliance stages.
- KYB discloses the foreign executive, mailbox representative, Slovak/EU nexus, source of funds and payment flows.
Annual obligations
- Financial statements are filed in the Register of Financial Statements and approved under the corporate procedure.
- Corporate tax, VAT/payroll filings and bookkeeping; the official mailbox is monitored continuously.
- Registry/UBO updates following changes to the office, executives, shareholders or control.
Restrictions & risks
- Failure to monitor the electronic mailbox may result in missed legally effective notices and deadlines.
- Activity without the correct trade authorisation or qualified person creates a registration/operating breach.
- Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
- The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
- Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.
Scope of support
- Coordination of the trade office, Commercial Register electronic filer, office/capital documents and mailbox/accounting access.
- Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
- Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
- Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
- Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
