Price and scope

Custom quote

A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.

Remote formation for residents and non-residents

Department of State formation is filed electronically; resident agent/offices, EIN/SURI, permits, tax and banking are separate steps.

Fully online

For a resident

  • A Puerto Rico resident may file online and use local identity/address details but must maintain entity, tax and permit compliance.
  • Local presence helps with EIN/SURI/banking, but each authority and bank performs an independent review.

For a non-resident

  • A non-resident may organise an entity online with Puerto Rico agent/offices and proper organiser/authority information.
  • Federal/PR tax classification, the EIN route, foreign-owner filings and bank-signatory requirements are reviewed before launch.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • Online filing does not provide residence, work authorisation, an Act 60 decree, merchant permit or account.
  • Foreign qualification and regulated/professional entities may require certified documents and additional approvals.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • We reconcile Department of State, EIN and SURI data so ownership, responsible-party and address details are consistent.
  • Before filing, we pre-check IDs, proof of address, tax residence, the UBO chart, source of funds/source of wealth and translations.
  • We reconcile names, addresses, dates, ownership, signatures and authority across forms to reduce returns and repeat KYC/KYB requests.
  • We prepare a verifiable description of the activity, markets, counterparties, expected flows and the commercial rationale for the jurisdiction.

Bank-ready onboarding

  • We prepare a US-style KYB file with the EIN, governance, Puerto Rico nexus, contracts, UBO and source-of-funds evidence.
  • We match the company profile to the selected bank or EMI's published and confirmed eligibility criteria before applying.
  • We assemble one data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and the payment-flow map.
  • We help address legitimate compliance questions but do not promise an expedited bypass of checks, a guaranteed account or a fixed onboarding time.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • An operating business with an office, team, customers, IP or investment in Puerto Rico.
  • US-market projects for which a Puerto Rico entity is suitable after a federal/territorial tax comparison.
  • Professional, close-corporation or benefit structures where their special eligibility rules are met.

Main company types

  • A Limited Liability Company (LLC), a flexible member/manager entity formed by one or more persons.
  • A Domestic For-Profit Corporation, a stock corporation that may be organised by one person.
  • A Close Corporation, a closely held corporate form with separate transfer/governance rules.
  • A Professional Corporation for legally eligible licensed professions and only where professional-ownership rules are met.
  • Social Benefit/Benefit Corporations and nonprofit forms, mission-driven alternatives with additional purpose/reporting requirements.
  • Foreign corporation or LLC qualification, authorisation of an existing entity from another US or foreign jurisdiction to operate in Puerto Rico.

Founders, directors & address

  • The entity maintains a designated physical and postal office in Puerto Rico under the electronic-registry rules.
  • A resident agent domiciled in Puerto Rico and available for service of process is appointed.
  • The Certificate of Formation/Incorporation sets the name, purpose, capital or membership, governance and authorised persons.
  • After Department of State filing, an EIN, SURI/tax accounts, merchant registration, municipal permit and payroll registrations are generally required according to activity.
  • Act 60 or another incentive does not arise from incorporation: separate eligibility review, application/decree and ongoing compliance are required.

Documents & KYC

  • A passport or other acceptable ID for every founder, director, manager, signatory and ultimate beneficial owner (UBO).
  • Proof of residential address and tax residence; the registrar, agent, bank or other reviewer sets the document-validity period.
  • A transparent ownership chart through to natural persons and, for a corporate participant, registry documents, good standing and authorised resolutions.
  • A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • The entity name, Puerto Rico offices, resident agent, organiser/incorporator, members/shareholders, managers/directors and purpose.
  • The certificate, operating agreement or bylaws, organisational/board actions, ownership records and authority for EIN/SURI.
  • For foreign qualification, certified home-jurisdiction documents and good standing; for a regulated/incentive case, licences and a supporting plan.

Formation process

  1. Compare a Puerto Rico LLC/corporation with mainland-US and home-country options based on operations, investors and tax residence.
  2. Appoint Puerto Rico resident agent/offices, clear the name and prepare the electronic filing.
  3. File formation/qualification with the Department of State and complete internal governance and ownership records.
  4. Obtain an EIN and establish SURI, merchant, municipal, payroll and sector registrations according to actual activity.
  5. Banking and Act 60/other incentive applications are handled separately and have their own evidence/approval processes.

Indicative timeline

Department of State filing is electronic, but document review, foreign qualification, EIN/SURI, permits, incentive applications and bank KYC have separate timelines. The overall launch date is confirmed after case review and is not guaranteed in advance.

Tax overview

  • Puerto Rico is a US territory, not a separate sovereign/offshore jurisdiction; Puerto Rico and US federal tax treatment depends on the entity, owners and income source.
  • Corporate/income, sales and use tax, municipal, payroll, withholding and information returns are reviewed according to operations and elections.
  • Act 60 benefits apply only with an effective decree and compliance with residence, employment, service/export or other conditions; a marketing claim without approval is inappropriate.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • A bank/credit union performs US BSA/KYB review and generally requires an EIN, formation, operating agreement/bylaws, ownership/control and Puerto Rico business evidence.
  • Non-resident owners/signatories evidence foreign tax IDs, address, source of funds/wealth and the Puerto Rico nexus; video/in-person identification may be required.
  • A resident agent, EIN or incentive application is not bank approval and does not fix onboarding timing.

Annual obligations

  • A corporation files its annual report and pays the fee by 15 April under Department of State guidance.
  • An LLC does not file a corporate annual report but pays the $150 annual fee by 15 April under current Department of State rules.
  • The resident agent/offices and director/manager/ownership records are kept current.
  • Puerto Rico/federal tax, SURI, municipal, payroll, licensing and incentive reports apply according to status and operations.

Restrictions & risks

  • Marketing Puerto Rico as a non-US offshore jurisdiction misstates its territorial/federal legal and tax position.
  • An entity without genuine Puerto Rico operations or compliance with incentive-decree conditions can create tax, permitting and banking problems.
  • Incorporation does not conceal ownership or disapply AML/KYC. Registered agents, registries, tax authorities and financial institutions may obtain and verify UBO information.
  • The place of incorporation does not automatically determine tax residence. Effective management, permanent establishment, CFC, withholding and the owners' personal residence require separate analysis.
  • Company registration does not grant a regulated-activity licence, immigration status or a bank account.

Scope of support

  • Coordination of Department of State filing, Puerto Rico resident agent/offices, EIN/SURI and local-permit hand-off.
  • Comparison of entity forms, ownership structure, tax links and substance requirements before filing.
  • Coordination of the registered agent, notary or local representative, translations, apostille and the complete corporate file.
  • Preparation of a bank-ready KYB data room and responses to legitimate compliance requests; approval and timing remain with the bank or EMI.
  • Accountant hand-off and creation of an annual-return, BO, tax, licence and substance compliance calendar.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
