Remote formation for residents and non-residents
Empresa Online 2.0 can provide an electronic route only where all signers have compatible CMD/eIDAS; otherwise an authorised professional is used.
For a resident
- A resident generally uses CMD/local identifiers and arranges the Portuguese tax/accounting setup.
- Local operations determine permits, payroll, VAT and municipal obligations.
For a non-resident
- An EU non-resident with eligible eIDAS may sign online after obtaining NIF/NIPC.
- A non-EU/unsupported signer uses a legal professional, mandate/POA and certified documents.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- Online availability does not mean every foreign eID or corporate-founder data set is accepted.
- The tax representative, accountant, RCBE and bank are distinct post-incorporation matters.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
- Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
- A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.
Bank-ready onboarding
- KYB discloses the NIF/NIPC route, manager location, Portuguese rationale and capital-funding trail.
- The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
- The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
- Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- Digital services, SaaS, consulting and agencies with a Portuguese/EU business rationale.
- Trade, tourism support and local operations following activity/licensing review.
- A single-founder Lda or multi-shareholder Lda/SA structure.
Main company types
- Sociedade unipessoal por quotas, a single-member limited company; the quota generally starts at β¬1.
- Sociedade por quotas (Lda), a multi-member private limited company with a minimum β¬1 quota per member.
- Sociedade anΓ³nima (SA), a joint-stock company with minimum capital of β¬50,000 and more complex governance.
- General/limited partnership forms for specialist joint models.
- A branch (sucursal) of a foreign company through a separate online/registry process.
Founders, directors & address
- A Portuguese registered office, approved or pre-approved name, economic-activity codes and manager(s).
- Each natural-person participant needs a Portuguese NIF; a foreign corporate founder also obtains NIPC/Portuguese fiscal identification.
- Empresa Online 2.0 requires compatible CMD/eIDAS and electronic signatures from all required signers; otherwise a lawyer/solicitor/notary route applies.
- There is no general resident-manager condition, but non-resident tax representation/notifications and immigration are handled separately.
- A certified accountant and tax-commencement process are arranged after incorporation according to activity.
Documents & KYC
- A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
- Current proof of residential address and tax residence for every person subject to verification.
- A transparent ownership chart through to natural persons; a corporate participant also provides an extract, constitutional documents, good standing and an investment resolution.
- A description of the activity, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
- NIF/NIPC data, proposed name, articles/company agreement, office, CAE activities, quotas, managers and signing powers.
- A capital-contribution declaration/evidence under the selected statutory option and beneficial-owner data.
- Compatible eIDAS/CMD or a professional mandate/POA; foreign corporate documents certified and translated as required.
Formation process
- Select Lda/Unipessoal/SA/branch and review NIF/NIPC, eID route, activity, office and tax links.
- Obtain identifiers/name and agree articles, quotas, managers, address and the capital declaration.
- All signers execute through Empresa Online or an authorised legal professional files within the mandate.
- After registration, activate RCBE, tax commencement, VAT/payroll, accounting and separate bank/EMI onboarding.
Indicative timeline
Timing depends on NIF/NIPC, the name, compatible signatures or professional route, certified documents and registry review; bank and tax activation remain separate.
Tax overview
- A Portuguese company files IRC corporate income tax; the national rate, municipal surtax and relief are checked for the period/location.
- VAT, payroll/social-security, withholding and stamp-duty matters depend on operations and payments.
- Foreign management, treaty benefits and related-party transactions require PE/residence/transfer-pricing analysis.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- The capital declaration/deposit and operating account are not one approval; the provider separately checks UBOs and source of funds.
- NIF/NIPC and a company certificate do not replace Portuguese/EU nexus, contracts and flow evidence.
Annual obligations
- Annual accounts and IES/annual-information filing under the Portuguese reporting framework.
- IRC, VAT/payroll/social filings and ongoing certified-accountant records.
- RCBE/Commercial Registry updates following changes to managers, quotas, office or beneficial ownership.
Restrictions & risks
- Empresa Online is available only where every required signer has compatible credentials; one unsupported participant changes the route.
- NIF/company registration does not grant residence, a visa, a licence or an automatic tax benefit.
- Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
- The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
- Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.
Scope of support
- Coordination of NIF/NIPC, Empresa Online/legal professional, the Portuguese office, RCBE and certified-accountant hand-off.
- Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
- Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
- Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
- Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
