Price and scope

Custom quote

A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.

Remote formation for residents and non-residents

Mainland filing is online with a resident director and secretary; mandatory licensed trust company files a Labuan application after its own due diligence. Neither route creates an automatic licence or bank account.

Via representative

For a resident

  • The mainland resident director must ordinarily reside in Malaysia and genuinely perform officeholder duties.
  • The Labuan resident officer or secretary and trust company maintain the registered and compliance interface.

For a non-resident

  • A non-resident may own a Mainland or Labuan company after KYC, ownership and activity checks.
  • Corporate and non-resident documents may require certification, legalisation and translation before provider acceptance.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • The online portal covers registry submission only; director, secretary, licensing, tax and substance remain separate.
  • The trust company, regulator or bank may request additional evidence or decline the case.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • Before filing, we reconcile passports, residential addresses, tax residence, the ownership chain and UBO data across all documents.
  • For a corporate shareholder, we prepare the registry extract, constitutional documents, resolution, ownership chart, apostille or legalisation and translations where required.
  • We complete an activity and licence pre-check before address, local-officer or government fees are committed.

Bank-ready onboarding

  • Company registration neither includes nor guarantees a bank or payment account.
  • The bank independently reviews UBOs, source of wealth/funds, activity, markets, counterparties, address, licences and the economic link to the jurisdiction.
  • A financial institution may request originals, video verification or personal attendance and may decline; approval and timing remain entirely at its discretion.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • Mainland: technology, services, trade, manufacturing and local operations with Malaysian customers or a team.
  • Labuan: eligible cross-border services, holding, trading or regional structures with appropriate substance.
  • International groups needing a clear choice between the Malaysian domestic regime and Labuan IBFC.

Main company types

  • A mainland private company limited by shares (Sdn Bhd), the standard local operating form.
  • A mainland public company (Berhad), company limited by guarantee or unlimited company for public, non-profit or member-based, or special-liability structures.
  • A registered foreign company or branch, a Malaysian presence of a foreign parent without a separate subsidiary liability shield.
  • A Labuan company limited by shares, a separate company under the Labuan Companies Act formed through a licensed Labuan trust company.
  • A foreign Labuan company, registering an overseas company in Labuan instead of forming a new local entity.

Founders, directors & address

  • Mainland Sdn Bhd: at least one member and share and one director ordinarily resident in Malaysia with a principal place of residence there.
  • A mainland company secretary is appointed within 30 days after incorporation; a registered office and business address are required.
  • Labuan: the client must appoint a licensed Labuan trust company for due diligence and filing; the FSA also states resident-director and resident-secretary requirements.
  • A Labuan tax incentive requires applicable physical office, employees and operating expenditure; a regulated activity requires prior approval before incorporation.

Documents & KYC

  • Passports, addresses, tax residence, UBO and ownership chart for all founders and directors.
  • Mainland: name, business objects, registered and business addresses, director and promoter declarations and secretary onboarding data.
  • Labuan: memorandum and articles, director consents and forms, and the licensed trust company's statutory declaration.
  • Corporate founder: certified registry documents, board resolution, authorised signatory, translations and source-of-funds evidence.

Formation process

  1. First select Mainland or Labuan according to activity, customers, place of management, licences, substance and tax; the routes are not interchangeable.
  2. Mainland: use SSM name reservation or direct incorporation, file director, promoter and address data, and appoint the secretary after incorporation.
  3. Labuan: appoint a licensed trust company, complete its KYC and due diligence, reserve the name and obtain any prior sector approval.
  4. Obtain the corporate documents and establish statutory registers, accounting, tax and substance, and the licence calendar.
  5. A bank or EMI application is filed separately after reviewing the business rationale and transaction geography.

Indicative timeline

The mainland timeline depends on SSM, resident-director and secretary onboarding and documents. Labuan FSA indicates rapid registry approval only after complete documents, fees and cleared due diligence; provider due diligence, prior licensing, substance and banking are outside that timeline.

Tax overview

  • Mainland corporate income tax, SST, payroll and withholding are analysed according to activity, incentives, payments and permanent establishments.
  • Labuan tax treatment depends on the Labuan business-activity classification and substance compliance; incorporation alone does not grant an incentive.
  • Cross-border management, transfer pricing, treaty access and owner taxation are confirmed with a Malaysian adviser before selecting the route.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • A mainland bank reviews the resident director, Malaysian operations and address, ownership, contracts and expected flows.
  • A Labuan company may approach banks in or outside Labuan, but every bank conducts independent and potentially enhanced KYB.
  • The FSA's description of account availability is not an approval; account opening is not included in the formation result.

Annual obligations

  • A mainland annual return is filed within 30 days after the anniversary; financial statements and reports follow their statutory filing period.
  • A mainland company maintains its resident director, secretary, addresses, registers, accounting and tax filings.
  • A Labuan company pays its annual government fee and maintains its trust company, resident offices, director and secretary, and BO records.
  • Labuan accounts, audit and tax return, and substance evidence depend on the activity and applicable regulations.

Restrictions & risks

  • Mainland and Labuan have different laws, regulators, tax and substance rules and must not be sold as one inexpensive interchangeable package.
  • The resident director, secretary and trust company carry statutory duties and ongoing compliance rather than a one-time nominee service.
  • A licensable Labuan business requires approval before incorporation; a company certificate does not replace a licence.
  • A tax benefit may be denied where the activity classification or substance is incorrect or unsupported.

Scope of support

  • A Mainland-versus-Labuan eligibility matrix covering activity, customers, ownership, substance, tax and banking.
  • Coordination with an SSM secretary and resident director or a licensed Labuan trust company and preparation of the formation file.
  • Post-registration accounting, substance, licence and KYB hand-off without promising tax status or a bank account.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
