Capital: Usually €2,800 or a separate low-capital form; confirmed before filing.

Basic β€” included

  • Name check, standard articles, founder resolution and registry forms.
  • One founder, one director and standard UBO/PSC registration where it forms part of the process.

  • A tax number where assigned automatically or expressly included in the selected option, plus a mandatory-filing guide.
  • Preparation of the power-of-attorney text and instructions for notarisation, apostille or legalisation.
  • Review of the executed power of attorney, founder-document preparation and local-representative filing work.
  • Standard director, UBO and company tax-number registration where included in the ordinary route.

Paid separately

  • β€”Accounting, audit, annual filings, VAT and other tax registrations unless expressly listed in the package.

  • β€”Actual notary, apostille/legalisation, POA translation and original-document courier costs are paid separately.

Business

Premium

Business plus a website, bank business plan and three months of coordination.

Turnkey

Premium plus accounting launch, VAT where needed and an enhanced compliance scope. Final scope is confirmed separately.

Remote formation for residents and non-residents

Electronic filing is available with a recognised QES; an incompatible signature requires a notarised, postal or representative route.

Online β€” conditions apply

For a resident

  • A resident with Latvian eID/QES can use the full local electronic workflow.
  • The local address and tax/accounting setup are aligned with actual activity.

For a non-resident

  • A non-resident may be a shareholder/board member; additional personal data are filed without a Latvian personal code.
  • EU QES acceptance and foreign-document certification are confirmed before execution.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • Not every electronic signature is technically accepted by the register.
  • Online registry filing does not mean online bank approval.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
  • Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
  • A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.

Bank-ready onboarding

  • For non-resident KYB, Latvia nexus, contracts, counterparties and expected turnover are documented in advance.
  • The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
  • The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
  • Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • Digital services, agencies and SaaS with a Baltic/EU commercial rationale.
  • Trading/operating companies with a clear supply chain and local accounting.
  • Small founder-owned ventures where a low-capital SIA genuinely satisfies the statutory restrictions.

Main company types

  • SabiedrΔ«ba ar ierobeΕΎotu atbildΔ«bu (SIA), a private limited company with capital of €2,800.
  • A low-capital SIA, with capital of €1–€2,799 and restrictions on natural-person founders/shareholders, participant numbers and the board.
  • Akciju sabiedrΔ«ba (AS), a joint-stock company with €25,000 capital and more complex governance.
  • General and limited partnerships, contractual forms with different partner liability.
  • A branch of a foreign company and an individual merchant for suitable operating models.

Founders, directors & address

  • A legal address in Latvia with a correct cadastral/address record and right of use.
  • A standard SIA requires €2,800 capital; the low-capital route is checked against every founder/shareholder/board restriction.
  • A board member may be non-resident; a person without a Latvian personal code supplies additional identification data to the register.
  • E-filing requires a qualified electronic signature recognised by Latvian systems; otherwise notarised signatures, post or a representative are used.
  • UBO data are filed at incorporation and kept current.

Documents & KYC

  • A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
  • Current proof of residential address and tax residence for every person subject to verification.
  • A transparent ownership chart through to natural persons; a corporate participant also provides an extract, constitutional documents, good standing and an investment resolution.
  • A description of the activity, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • Foundation decision/agreement, articles, shareholder register, board consent, name and legal-address data.
  • Capital-payment evidence and valuation documents for any contribution in kind.
  • Foreign-person questionnaire/data, certified corporate-founder documents and translations where required.

Formation process

  1. Review the SIA/low-capital/AS choice, signatures, founders, board, address and activity.
  2. Prepare foundation documents, capital evidence, UBO and foreign-person data.
  3. Execute with QES and file electronically or arrange notarised/representative submission to the Enterprise Register.
  4. Set up tax/VAT, accounting, employment where required and separate bank/EMI KYB.

Indicative timeline

Timing is determined by the signature route, legal-address data, capital evidence and foreign-document review; non-resident banking is independent and may require additional nexus evidence.

Tax overview

  • Latvian corporate income tax under the general regime is linked to distributed and deemed-distributed profits; specific events and exemptions are confirmed by an accountant.
  • VAT, payroll/social taxes and withholding depend on turnover, employees, payments and cross-border transactions.
  • Management outside Latvia may create foreign tax residence/PE and CFC consequences for owners.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • Official LIAA guidance notes that banks apply enhanced analysis to non-resident business and assess its link to Latvia.
  • Capital confirmation, Enterprise Register approval and account onboarding are separate decisions.

Annual obligations

  • The annual report/financial statements are filed through the prescribed state-revenue/registry system.
  • Corporate-income-tax events, VAT/payroll returns and accounting records are maintained according to activity.
  • Changes to the board, address, shareholders and UBOs are registered promptly.

Restrictions & risks

  • A low-capital SIA that ceases to meet its restrictions no longer complies with the selected regime.
  • Lack of Latvian commercial nexus increases the likelihood of enhanced bank due diligence or refusal.
  • Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
  • The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
  • Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.

Scope of support

  • Coordination of the Enterprise Register, QES/notarised route, address, capital, UBO and local-accounting hand-off.
  • Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
  • Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
  • Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
  • Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
