Remote formation for residents and non-residents

For a non-resident, the practical route is filing by an authorised representative under a notarised power of attorney. Digital registration is available with compatible local identification and electronic signing but does not remove foreign originals and translations.

Via representative

For a resident

  • A resident with supported electronic identification may use the Ministry of Justice online system.
  • The local representative confirms the filing channel, legal address and collection of the registry result.

For a non-resident

  • A non-resident may be a participant; foreign documents undergo the applicable legalisation or apostille and translation.
  • A foreign manager must check immigration and employment authority separately from corporate registration.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • The online registry process excludes licensing, banking, immigration, premises and tax setup.
  • The authority or a bank may request an original, additional identification or personal attendance.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • Before filing, we reconcile passports, residential addresses, tax residence, the ownership chain and beneficial-owner data across all documents.
  • For a foreign corporate participant, we prepare a current registry extract, constitutional documents, resolution, ownership chart, apostille or legalisation and the required translations.
  • Before incorporation, we review the proposed activity, foreign-ownership restrictions, licensing requirements and the place of effective management.

Bank-ready onboarding

  • Company registration neither includes nor guarantees a bank or payment account.
  • A financial institution independently reviews UBOs, source of wealth and funds, the business model, counterparties, payment countries, address, licences and the economic link to the jurisdiction.
  • A bank may request originals, video identification or personal attendance by a director or UBO and may decline the application; approval and timing remain at the bank's discretion.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • IT, consulting, trading, logistics, manufacturing and services with customers, staff or assets in Kyrgyzstan.
  • A subsidiary of a foreign group with a documented ownership and funding chain.
  • Projects requiring a local operating entity and prepared to handle licensing, tax, employment and banking separately.

Main company types

  • A limited liability company (LLC or OsOO) is the standard private form; the official investment guide describes one to 30 participants.
  • An additional-liability company exposes participants to additional liability in the amount set by its constitutional documents.
  • A joint-stock company is a more formal structure for capital and a broader investor base.
  • A branch of a foreign legal entity is an establishment of the parent without separate legal personality.
  • A representative office of a foreign legal entity represents the parent and is not a separate limited-liability company.

Founders, directors & address

  • An LLC requires one or more participants, an incorporation resolution, a manager, a legal address in Kyrgyzstan and Ministry of Justice registration data.
  • The Ministry of Economy's official guide states that no general minimum or maximum charter capital is set for an LLC; licensed and financial activities may have special requirements.
  • The new 2026 regulation requires information necessary to identify and register beneficial owners.
  • The general rules reviewed do not impose a blanket citizenship or residence requirement on the manager of an ordinary LLC; a foreign manager's work and stay are regulated separately.
  • Constitutional and registration documents are filed in the state or official language in the form required by the current regulation.
  • The registration certificate does not authorise licensed activity; sector approval and any pre-clearances are obtained separately.

Documents & KYC

  • The application, incorporation resolution or minutes and details of the manager, legal address, participants and beneficial owners.
  • Passports of foreign participants and the manager with the required notarised translations.
  • For a foreign corporate founder, a current registry extract or registration certificate and constitutional documents with apostille or legalisation and translation where applicable.
  • Capital structure, activity description, contact details and an ownership chart through to the individual UBOs.
  • A notarised power of attorney for the local representative with precise authority to file, sign and collect the result.

Formation process

  1. Review the form, activity, foreign-ownership restrictions, licensing, tax regime and applicable immigration requirements.
  2. Agree the name, address, participants, manager, capital, model or bespoke constitutional route and UBO details.
  3. Prepare foreign documents, apostille or legalisation, translations and the power of attorney.
  4. The representative files the complete package with the Ministry of Justice through the current digital or territorial channel and addresses any cure request.
  5. After registration, verify tax, statistics and social registration and complete employment, immigration and licensing steps.
  6. Separately prepare the banking KYB pack: corporate documents, UBOs, source of funds, contracts and the operating plan.

Indicative timeline

The 2026 Cabinet regulation provides a standard three-business-day registry period and a different period for certain foreign-related and special forms. It applies to a complete filing and excludes apostille, translations, the power of attorney, cures, licences and banking KYB.

Tax overview

  • An LLC becomes a taxpayer and keeps records under the current Tax Code; corporate tax, VAT or sales tax, withholding and payroll charges depend on the regime and activity.
  • The general or a special regime is selected only after reviewing turnover, activity, transaction profile and current restrictions.
  • EAEU membership does not remove national taxes, VAT documentation, customs duties or permanent-establishment and transfer-pricing rules.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • Banks assess the manager and UBOs, source of funds, legal address, local contracts, tax profile and operating plan.
  • A foreign ownership chain, remote management or higher-risk activity may trigger enhanced KYB and a request for personal identification.

Annual obligations

  • Maintain accounting and tax records, retain source documents and file returns under the selected regime.
  • File applicable statistical forms with the National Statistical Committee.
  • Keep manager, address, participant and beneficial-owner details current and register changes on time.
  • Complete employment, social, immigration and licensing filings and renewals where applicable.

Restrictions & risks

  • A new registration regulation has applied since April 2026; older instructions and templates may be repealed or omit mandatory UBO data.
  • The Ministry of Justice online channel requires suitable electronic identity and signing and does not by itself make a non-resident case fully remote.
  • LLC registration is not a sector licence and does not confirm a foreign manager's right to work physically in the country.
  • A formal address, incomplete UBO data or inconsistent translations may result in suspension, refusal or banking questions.

Scope of support

  • Select an LLC, JSC, branch or representative office after reviewing activity, liability, licensing and tax.
  • Prepare resolutions, UBO data, the power of attorney, legalisation and translations and coordinate filing with a local representative.
  • Set up a post-registration checklist and bank-ready KYB pack without promising a licence, tax result or account.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
