Price and scope
Custom quote
A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.
Remote formation for residents and non-residents
A standard AIFC entity application may be submitted through digital channels by the applicant or an authorised representative. This is a remote registry workflow, not automatic regulatory, tax or bank approval.
For a resident
- The official description does not state a general resident-director requirement for an ordinary Private Company; an AIFC registered office is mandatory.
- Tax residence, management and control, employment and immigration depend on actual operations and are not determined by a portal filing.
For a non-resident
- Foreign shareholders and directors may participate subject to identity, UBO, sanctions and document verification.
- An authorised representative can coordinate filing, but the applicant and officers remain responsible for accurate disclosures and continuing duties.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- Originals, certified copies, translations, video checks or additional evidence may still be requested.
- Regulated activity requires a separate AFSA process; digital incorporation does not authorise trading in a regulated service.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, we reconcile passports, residential addresses, tax residence, the ownership chain and UBO data across all documents.
- For a corporate shareholder, we prepare the registry extract, constitutional documents, resolution, ownership chart, apostille or legalisation and translations where required.
- We complete an activity and licence pre-check before address, local-officer or government fees are committed.
Bank-ready onboarding
- Company registration neither includes nor guarantees a bank or payment account.
- The bank independently reviews UBOs, source of wealth/funds, activity, markets, counterparties, address, licences and the economic link to the jurisdiction.
- A financial institution may request originals, video verification or personal attendance and may decline; approval and timing remain entirely at its discretion.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- Regional holding, treasury and headquarters structures with a demonstrable Kazakhstan or Central Asia nexus.
- Technology, consulting and professional-services businesses where the selected activity does not require separate AFSA authorisation.
- Investment vehicles and financial-services projects only after classification and regulatory pre-checks.
Main company types
- Private Company Limited, the standard private limited-by-shares form for operating and holding activity.
- Public Company, used for wider capital raising and subject to enhanced governance and disclosure requirements.
- Limited Liability Partnership or Limited Partnership, partnership routes for joint ventures and investment structures.
- Recognised Company, the registration of a foreign legal entity's branch; the branch does not create a separate limited-liability company.
- A Foundation, Special Purpose Company or another special vehicle, only after checking statutory purpose, eligibility and the regulatory perimeter.
Founders, directors & address
- A Private Company is formed with at least one shareholder and one individual director; its governance structure is fixed in the articles and resolutions.
- For an ordinary Private Company, AIFC materials do not state a general resident-director test; residence, immigration and tax management and control still require separate review.
- A registered office within the AIFC is required, at an address where statutory records and notices are available.
- A Private Company generally has no prescribed minimum share capital unless a regulated activity, chosen form or licence introduces its own capital test.
- The principal business activity must match the declared AIFC activities; activity outside the applicable perimeter may require prior consent or a different Kazakhstan vehicle.
- Financial, market, fund, virtual-asset and other regulated services cannot commence on registration alone: the relevant AFSA authorisation is required first.
Documents & KYC
- Passports, residential addresses, contact and tax-residence details for shareholders, directors, authorised signatories and UBOs.
- Name options, a detailed activity description, ownership chart, share allocation, articles, appointment and incorporation resolutions.
- For a corporate shareholder, a current registry extract, constitutional documents, board resolution and signatory authority, with certification, legalisation and translation as requested.
- Registered-office evidence and, where the activity requires it, a business plan, financial projections, compliance manuals and source-of-funds evidence.
Formation process
- Classify the activity and separate ordinary commercial registration from AFSA-regulated business.
- Select a Private Company, partnership, Recognised Company or special vehicle and settle ownership, governance, registered office and reporting model.
- Complete KYC and UBO review, arrange Digital Resident or portal access and document an authorised representative's powers where a representative files.
- Submit the application, constitutional documents and officer and owner details, then respond to Registrar or AFSA requests.
- After registration, set up statutory registers, accounting, tax analysis and contracts and, where necessary, a separate licence application.
- Launch bank or payment onboarding as a separate KYB workstream after checking the selected provider's appetite.
Indicative timeline
A standard unregulated registration may be filed through digital channels, but portal availability is not a guaranteed approval timeline. Corporate shareholders, complex UBO chains, translations, registered-office setup and clarification requests extend preparation and review. AFSA authorisation is a separate, materially longer process governed by the activity, application readiness and regulator questions.
Tax overview
- AIFC registration does not create a blanket tax exemption: relief depends on the qualifying activity, income, substance and current Kazakhstan and AIFC legislation.
- Before launch, model corporate tax, VAT, withholding, payroll, permanent-establishment and transfer-pricing exposure for the actual markets and management location.
- Founders remain responsible for personal tax and controlled-foreign-company consequences in their residence jurisdictions.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- Company registration neither includes nor guarantees a bank or payment account.
- The bank independently reviews UBOs, source of wealth/funds, activity, markets, counterparties, address, licences and the economic link to the jurisdiction.
- A financial institution may request originals, video verification or personal attendance and may decline; approval and timing remain entirely at its discretion.
- For AIFC structures, banks generally expect a clear commercial rationale, contracts, source of funds, a regional nexus and an explanation of real management and substance.
- Digital registration, Digital Resident status or AFSA registration does not require a bank to open an account and does not replace bank KYB.
Annual obligations
- Maintain statutory registers, a current registered office and timely filings of changes to directors, shareholders, UBOs and constitutional information.
- File the annual return or use a permitted confirmation-election mechanism, depending on current status and rules.
- Prepare annual accounts; the filing, audit and publication scope depends on entity type, turnover, regulated status and applicable exemptions.
- Regulated participants separately maintain licence conditions, regulatory returns, capital, compliance and fee obligations.
Restrictions & risks
- Using the AIFC label for activity outside the declared activity or licence perimeter creates enforcement and banking risk.
- Tax relief can fail where activity, income or substance does not meet the statutory test; marketing wording is not a tax opinion.
- A nominal address or governance arrangement without operational rationale can undermine bank onboarding, tax analysis and ongoing compliance.
- Sanctions, cross-border payment routes and counterparties require a separate risk review before incorporation costs are committed.
Scope of support
- An entity and activity-perimeter memo covering Private Company, partnership, branch or regulated and special vehicles.
- Formation pack, registered-office coordination, portal submission and Registrar clarification support.
- Separate tax, licensing, accounting, substance and banking-readiness workstreams with no approval guarantee.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
