Remote formation for residents and non-residents
Online notarial incorporation is available only with suitable identity infrastructure; a typical non-resident uses a Czech notary and certified POA.
For a resident
- A resident with Czech eID/bank identity may arrange a fully electronic notarial act.
- The local office and trade licence are aligned with actual activities.
For a non-resident
- A non-resident may be a shareholder/executive without a general residence condition.
- The notary confirms the POA form, apostille, translations and director declarations in advance.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- Remote founder representation does not always replace separate identity/signature verification of the executive.
- Trade-licence, tax and bank stages are not part of one automatic online flow.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
- Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
- A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.
Bank-ready onboarding
- The bank pack explains low nominal capital, genuine operating funding and Czech commercial rationale.
- The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
- The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
- Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Founders, directors & address

- There is no general resident-director requirement; the managing director signs consent and an eligibility declaration.
- A trade licence/authorisation is obtained for the stated activities; a regulated trade may require a qualified responsible representative.
- A fully electronic notarial act requires an eligible Czech/eID or bank-identity channel; a non-resident generally uses a special certified POA.
- For small cash contributions a special bank capital account may not be required, but the notary confirms the specific route.
Documents & KYC
- A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
- Current proof of residential address and tax residence for every person subject to verification.

- Review s.r.o./a.s./branch, activities, trade licence, office, executive and tax links.
- Agree the notary, deed/articles, POA/identity route, capital and office consent.
- Obtain trade authorisation and the notarial deed; the notary or representative files the Commercial Register entry.
- Set up tax/VAT, beneficial-owner records, accounting and separate banking KYB.
Indicative timeline
Timing is determined by the notary/POA, office consent, trade authorisation and foreign-document readiness; registry, tax and banking are handled separately.
Tax overview
- A Czech company files a corporate income tax return; the rate, deductions and tax base are confirmed for the relevant period.
- VAT, payroll/social/health contributions and withholding depend on turnover, employees and payments.
- Related-party dealings and foreign management require transfer-pricing, PE and residence analysis.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- CZK 1 minimum capital does not mean no operating funding is needed; a bank assesses the genuine budget and transaction model.
- Notary/registry approval does not replace bank UBO, source-of-funds and Czech/EU nexus checks.
Annual obligations
- Annual financial statements are filed/published in the Collection of Deeds to the required extent.
- Corporate tax, VAT/payroll filings and accounting records under Czech rules.
- Updating executives, office, owners and beneficial-owner information.
Restrictions & risks
- Carrying on an activity without the required trade authorisation or qualified representative prevents lawful launch.
- A CZK 1 entity without adequate funding/business evidence appears underfunded to counterparties and KYB reviewers.
- Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
- The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
- Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.
Scope of support
- Coordination of the Czech notary, special POA, office, trade licence, Commercial Register and accountant hand-off.
- Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
- Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
- Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
- Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
