Remote formation for residents and non-residents
Electronic incorporation is coordinated by a Cyprus lawyer; remote eligibility is confirmed after AML and certified-document review.
For a resident
- A resident may provide an actual local-management connection, but it must be supported by genuine decisions and records.
- Local directors/officers remain subject to the same UBO/AML and fit-for-role checks.
For a non-resident
- A non-resident may own and direct the company while working through a lawyer and local office/secretary.
- Certified foreign documents, translations and source-of-wealth evidence are agreed before filing.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- Representative mode does not mean hidden UBOs or nominee management without genuine duties.
- Tax residence, a licence and immigration status do not arise automatically from the incorporation certificate.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
- Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
- A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.
Bank-ready onboarding
- The bank pack separately discloses management/control, Cyprus nexus and all intermediary/nominee roles.
- The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
- The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
- Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- International services and SaaS with a documented operating model and markets.
- EU-facing trading or holding structures after management, substance and treaty-position review.
- Joint ventures, guarantee or public structures where a standard private Ltd is unsuitable.
Main company types
- A private company limited by shares (Ltd), the principal commercial form without a general statutory minimum capital.
- A public company limited by shares, with enhanced capital, membership and disclosure requirements.
- A company limited by guarantee, used for membership/non-profit or specially structured projects.
- A general or limited partnership, a contractual form with different partner liability.
- An overseas-company branch, registering a branch of a foreign legal entity.
Founders, directors & address
- Name approval, memorandum and articles, a Cyprus registered office, first director(s) and company secretary.
- Electronic filing is generally coordinated by a Cyprus lawyer, including the statutory lawyer declaration.
- Company law does not impose a general resident-director condition, but tax residence and substance depend on management and control and the facts.
- Beneficial owners are reported to the applicable BO register; nominee arrangements do not conceal UBOs.
- Regulated financial, investment, gaming, crypto and professional activities require separate licensing review.
Documents & KYC
- A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
- Current proof of residential address and tax residence for every person subject to verification.
- A transparent ownership chart through to natural persons; a corporate participant also provides an extract, constitutional documents, good standing and an investment resolution.
- A description of the activity, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
- Name choices, memorandum/articles instructions, share capital/allocation, registered office, directors and secretary.
- Cyprus-lawyer AML/client-acceptance forms and source-of-funds/source-of-wealth evidence.
- For a corporate shareholder, certified/apostilled constitutional and registry documents and a board resolution.
Formation process
- Review the form, activity/licensing, ownership, management/control and Cyprus business rationale.
- Complete lawyer AML, reserve the name and agree memorandum/articles, officers, office and shares.
- The lawyer files the electronic incorporation pack with the Registrar and obtains corporate certificates.
- Set up BO, tax/VAT, accounting, statutory records and separate bank/EMI onboarding.
Indicative timeline
Timing depends on name approval, lawyer AML, certified foreign documents and Registrar review; tax, BO and banking onboarding are planned separately.
Tax overview
- A Cyprus company files corporate income tax; the applicable rate and base are checked under legislation in force for the period.
- VAT, payroll/social-insurance, withholding and defence-contribution questions depend on operations and the residence profile.
- IP, financing, holding and treaty benefits require separate substance, transfer-pricing and anti-abuse analysis.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- A bank/EMI assesses UBOs, source of wealth/funds, management substance, contracts, counterparties and sanctions geography.
- Local lawyer/CSP acceptance and Registrar incorporation are not bank pre-approval.
Annual obligations
- An annual return and applicable financial-statement/audit filings with the Registrar.
- A corporate tax return, VAT/payroll filings and accounting records reflecting actual activity.
- Maintenance of the registered office, secretary, statutory registers and current beneficial-owner data.
Restrictions & risks
- A formal local director or office without genuine management substance does not secure the intended tax/treaty position.
- International trading, crypto or high-risk geography may trigger enhanced due diligence or provider/bank refusal.
- Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
- The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
- Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.
Scope of support
- Coordination of the Cyprus lawyer, registered office/secretary, Registrar certificates, BO and local-accountant hand-off.
- Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
- Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
- Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
- Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
