Price and scope
Custom quote
A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.
Remote formation for residents and non-residents
An EU applicant with compatible eIDAS may use e-Court; a non-EU applicant generally uses a notary/POA and local professional.
For a resident
- A resident/EU eID user may complete the integrated electronic route where technically eligible.
- Local activity determines permits, tax, employment and address needs.
For a non-resident
- A non-EU non-resident may be a founder/director, but OIB and the applicable notarial identity/POA route are required.
- An EU applicant still completes OIB, capital and registry-eligibility checks.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- START/e-Court must not be advertised as a universal route for all passports.
- An integrated form does not guarantee bank, VAT or licence activation.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
- Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
- A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.
Bank-ready onboarding
- KYB separately discloses OIB holders, the signing/notary route, Croatia nexus and the source of operating funds.
- The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
- The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
- Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- EU services, technology and regional trading with a Croatian commercial link.
- Tourism-support and local operations following permit/activity review.
- Small founder projects using j.d.o.o. only where its capital/reserve restrictions are suitable.
Main company types
- Društvo s ograničenom odgovornošću (d.o.o.), a private limited company with €2,500 capital.
- Jednostavno d.o.o. (j.d.o.o.), a simplified limited company with €1 capital and statutory reserve/structure restrictions.
- Dioničko društvo (d.d.), a joint-stock company with €25,000 capital.
- Javno trgovačko društvo (j.t.d.) and komanditno društvo (k.d.), general/limited partnerships.
- A branch of a foreign company and obrt/sole-trade form for suitable personal activity.
Founders, directors & address
- A Croatian registered office, company name, activities, founder(s), director(s) and capital.
- Every foreign founder/director needs a Croatian personal identification number (OIB).
- EU applicants with eligible eIDAS credentials may use the e-Court/START route; non-EU applicants generally use a notary/POA route.
- There is no general resident-director requirement; regulated activities require sector permits/qualified persons.
- A j.d.o.o. is suitable only where restrictions on founders, directors, shares and reserve accumulation are met.
Documents & KYC
- A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
- Current proof of residential address and tax residence for every person subject to verification.
- A transparent ownership chart through to natural persons; a corporate participant also provides an extract, constitutional documents, good standing and an investment resolution.
- A description of the activity, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
- Formation deed/articles, name, office, activities, director consent, share allocation and capital evidence.
- OIB applications/data for foreign founders/directors and accepted eIDAS credentials or a notarial POA.
- Apostilled/certified corporate-founder documents and Croatian translations.
Formation process
- Select d.o.o./j.d.o.o./d.d./branch and review the EU/non-EU route, activities, OIB, office and capital.
- Obtain OIB, agree documents, address, capital and the eIDAS/notary signing channel.
- File through e-Court/START or through a notary/authorised representative with the Court Register.
- After registration, set up UBO, tax/VAT, FINA/accounting and separate banking KYB.
Indicative timeline
Timing is determined by OIB, eIDAS eligibility or POA/notary, capital and Court Register review; START banking integration is not account approval.
Tax overview
- A Croatian company files a corporate income tax return; rates and small-taxpayer treatment are checked for the relevant period.
- VAT, payroll/social contributions, withholding and tourism/local charges depend on activity and location.
- Foreign management, distributions and related-party dealings require treaty/PE/transfer-pricing analysis.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- START may technically coordinate a bank step, but the bank independently accepts or declines the UBO/business profile.
- Non-EU ownership, tourism/trade cash flows and cross-border counterparties may trigger enhanced KYB.
Annual obligations
- Annual financial statements and statistical/FINA filings under size/applicable rules.
- Corporate tax, VAT/payroll filings and ongoing bookkeeping.
- Court Register/beneficial-owner updates following changes to the address, directors, members or control.
Restrictions & risks
- A j.d.o.o.'s reserve and structural restrictions mean the form is not always cheaper or simpler over the long term.
- EU e-Court eligibility must not be extended to a non-EU applicant without notary-route verification.
- Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
- The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
- Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.
Scope of support
- Coordination of OIB, e-Court/START or the Croatian notary, office, capital, Court Register and accountant hand-off.
- Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
- Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
- Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
- Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
