Price and scope
Custom quote
A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.
Remote formation for residents and non-residents
Formation data and KYC are provided remotely, but a Cayman professional-services provider handles filing and the registered office; regulated structures have additional steps.
For a resident
- A resident uses Cayman identity/address evidence and a local operating setup; CSP and BO/ES duties still apply.
- Local business may require a resident-company form, trade and business licence, immigration and premises.
For a non-resident
- A non-resident generally selects an Exempted Company, LLC or ELP through a CSP and discloses ownership/control through to natural persons.
- Corporate/trust investors prepare certified chain documents, authority, tax residence and fund/regulatory classification.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- Portal filing is not direct self-service for a foreign client and does not remove provider onboarding.
- Fund, securities, VASP and other regulated cases cannot launch before a separate perimeter/licensing review.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- We verify the CSP through CIMA search and prepare BO/ES classification alongside incorporation data.
- Before filing, we pre-check IDs, proof of address, tax residence, the UBO chart, source of funds/source of wealth and translations.
- We reconcile names, addresses, dates, ownership, signatures and authority across forms to reduce returns and repeat KYC/KYB requests.
- We prepare a verifiable description of the activity, markets, counterparties, expected flows and the commercial rationale for the jurisdiction.
Bank-ready onboarding
- For a fund or SPV, the banking pack includes administrator/auditor/counsel and investor and asset-flow evidence.
- We match the company profile to the selected bank or EMI's published and confirmed eligibility criteria before applying.
- We assemble one data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and the payment-flow map.
- We help address legitimate compliance questions but do not promise an expedited bypass of checks, a guaranteed account or a fixed onboarding time.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- Investment funds, SPVs and joint ventures with professional legal, administration and audit providers.
- International holdings and asset ownership with a documented business purpose and tax analysis in every connected jurisdiction.
- Groups requiring flexible LLC or share-company governance under Cayman law.
Main company types
- An Exempted Company, the standard share-company form for business conducted mainly outside the Cayman Islands.
- A Limited Liability Company (LLC), a separate legal person without share capital, managed by members or managers.
- An Exempted Limited Partnership (ELP), commonly used for fund, investment and carried-interest arrangements.
- Resident and Non-Resident Companies, Companies Act forms selected according to intended Cayman/local and external operations.
- A Foundation Company, Segregated Portfolio Company and registration of an Overseas Company, specialist options for foundations, segregated portfolios or a foreign-company branch.
Founders, directors & address
- A company must maintain a Cayman Islands registered office; a non-resident client generally works through a licensed professional firm/CSP.
- The General Registry confirms that one person may be the sole member and also a director/officer of an ordinary company.
- The Memorandum/Articles or LLC/partnership agreement sets capital or interests, governance, managers/directors, transfers and reserved matters.
- Beneficial-ownership information is filed through the corporate-services provider under the prescribed regime and must be kept current.
- Every entity completes an economic-substance notification; a relevant entity carrying on a relevant activity assesses full ES reporting and substance obligations.
- Funds, securities, virtual assets, insurance and other regulated activities require separate CIMA or other applicable registration/licensing.
Documents & KYC
- A passport or other acceptable ID for every founder, director, manager, signatory and ultimate beneficial owner (UBO).
- Proof of residential address and tax residence; the registrar, agent, bank or other reviewer sets the document-validity period.
- A transparent ownership chart through to natural persons and, for a corporate participant, registry documents, good standing and authorised resolutions.
- A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
- The name, entity type, registered office, authorised capital or member/partnership interests, managers/directors and ownership allocation.
- The Memorandum and Articles, LLC agreement or partnership agreement and initial resolutions/consents.
- BO and economic-substance questionnaires and, for a regulated structure, offering, operator, auditor and licensing/registration documents.
Formation process
- Select an Exempted Company, LLC, ELP or another form based on investors, governance, tax classification and regulatory status.
- Verify the provider in the CIMA register, agree the registered office and complete its independent KYC/AML.
- Prepare constitutional documents, ownership/control and director/manager appointments and file with the General Registry.
- After incorporation, establish BO filing, ES notification, registers/resolutions and the accounting/audit workflow.
- Regulatory registration and bank/EMI onboarding run as separate workstreams after eligibility is confirmed.
Indicative timeline
The General Registry offers standard and express channels, but provider KYC, bespoke documents, regulatory approval, BO/ES analysis and banking can materially change the total time. Timing is confirmed only after file review.
Tax overview
- A Cayman structure should not be described as universally tax-free: tax may arise where owners, management, assets, counterparties and income sources are located.
- The Economic Substance Law requires notification from covered entities and additional reporting/substance for relevant activities.
- Tax undertakings, fund classification, FATCA/CRS and international reporting are reviewed by form and investor profile; they do not replace home-country advice.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- A bank or financial provider verifies identity, address, business purpose, expected volume/value, UBO/control and source of funds/source of wealth.
- An investment structure also evidences investors, administrator, legal counsel, audit, asset flows and regulatory status.
- Cayman incorporation and a tax undertaking do not guarantee a local or international account; bank eligibility is checked before applying.
Annual obligations
- The annual return and government fee are generally filed/paid in January through the registered-office provider.
- Registered-office/CSP renewal and timely updates to directors, managers, members and constitutional records.
- Beneficial-ownership information must remain current; the applicable filing is completed before the annual-return process is finalised.
- Economic-substance notification/report, accounting records, audit, fund/regulatory and FATCA/CRS filings apply according to entity status.
Restrictions & risks
- Selecting an Exempted Company or ELP without reviewing the securities/fund perimeter can create an unplanned CIMA registration or licensing obligation.
- A registered office is not operational substance; a relevant activity is assessed by actual people, premises, expenditure and decision-making.
- Incorporation does not conceal ownership or disapply AML/KYC. Registered agents, registries, tax authorities and financial institutions may obtain and verify UBO information.
- The place of incorporation does not automatically determine tax residence. Effective management, permanent establishment, CFC, withholding and the owners' personal residence require separate analysis.
- Company registration does not grant a regulated-activity licence, immigration status or a bank account.
Scope of support
- Verification of the licensed Cayman CSP, selection of an Exempted Company/LLC/ELP and coordination of BO/ES/regulatory workstreams.
- Comparison of entity forms, ownership structure, tax links and substance requirements before filing.
- Coordination of the registered agent, notary or local representative, translations, apostille and the complete corporate file.
- Preparation of a bank-ready KYB data room and responses to legitimate compliance requests; approval and timing remain with the bank or EMI.
- Accountant hand-off and creation of an annual-return, BO, tax, licence and substance compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
