Remote formation for residents and non-residents

Electronic filing is possible with compatible QES; a foreign founder without one uses a Bulgarian lawyer/representative and certified documents.

Online — conditions apply

For a resident

  • A resident with Bulgarian QES can use the local portal and banking/capital infrastructure.
  • Local management/address must reflect the genuine operating model.

For a non-resident

  • A non-resident may be a shareholder/manager without a general residence condition.
  • POA, manager specimen/declarations, apostille and translations are agreed before filing.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • Portal availability does not guarantee acceptance of a particular foreign QES.
  • The capital account, Commercial Register and operating bank account are separate stages.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • Before filing, IDs, proof of address, tax residence, names, dates, signatures and the UBO chart are reconciled across all documents.
  • Notarisation, apostille, certified-translation, electronic-signature and power-of-attorney requirements are checked for each issuing country.
  • A verifiable description of the product, customers, counterparties, flows and commercial rationale for the jurisdiction is prepared.

Bank-ready onboarding

  • The KYB pack shows genuine funding beyond nominal capital and fully discloses representative/manager roles.
  • The profile is matched to the selected bank or EMI's published and confirmed eligibility criteria before an application is made.
  • The data room covers corporate records, UBO/KYC, contracts, website, invoices, source of funds/source of wealth and the payment-flow map.
  • Approval, additional checks and onboarding timing always remain with the bank or EMI; incorporation does not predetermine them.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • Technology, consulting and exported services with an EU commercial rationale.
  • Trade/distribution and local operating ventures with a Bulgarian address/accounting setup.
  • A founder-led EOOD, multi-member OOD or qualifying DPK/startup model.

Main company types

  • Еднолично дружество с ограничена отговорност (EOOD), a single-member limited company.
  • Дружество с ограничена отговорност (OOD), a multi-member limited company; following euro transition minimum capital corresponds to €1.
  • Дружество с променлив капитал (DPK), a variable-capital form only for qualifying smaller enterprises and subject to special restrictions.
  • EAD/AD, single-member/multi-member joint-stock companies with materially higher capital/governance requirements.
  • SD, KD and KDA, general, limited and partnership-limited-by-shares forms; also a branch of a foreign company.

Founders, directors & address

  • A Bulgarian seat and registered/management address, company name, activity, manager(s) and ownership structure.
  • There is no general resident-manager/shareholder requirement; the manager accepts appointment and provides a specimen/declarations.
  • EOOD/OOD capital and contribution evidence are documented before filing; the current euro denomination is confirmed on the submission date.
  • Electronic A4 filing requires compatible QES; an attorney may file within statutory authority/POA.
  • A foreign corporate founder provides a current registry extract, articles and authorised resolution with certification/translation.

Documents & KYC

  • A passport or other acceptable ID for every founder, director, signatory and ultimate beneficial owner (UBO).
  • Current proof of residential address and tax residence for every person subject to verification.
  • A transparent ownership chart through to natural persons; a corporate participant also provides an extract, constitutional documents, good standing and an investment resolution.
  • A description of the activity, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • Foundation act/company agreement, manager appointment/consent, specimen, address, capital and shareholder-ledger data.
  • Capital-account/payment evidence from the selected institution and truth/eligibility declarations.
  • QES or an attorney POA, apostilled foreign documents and Bulgarian certified translations.

Formation process

  1. Select EOOD/OOD/DPK/AD/branch and review eligibility, activity, manager, address, capital and tax links.
  2. Prepare foundation documents, capital evidence, manager declarations, UBO and the translation pack.
  3. Execute with QES or through a lawyer/POA and file through the Commercial Register portal.
  4. After registration, activate tax/VAT, accounting, UBO updates and separate bank/EMI KYB.

Indicative timeline

Timing is determined by the QES/POA route, capital evidence, translations and Registry Agency review; tax, licences and the operating account are not part of one guaranteed timeline.

Tax overview

  • A Bulgarian company files a corporate income tax return; the current rate, deductions and incentives are confirmed for the period.
  • VAT, payroll/social insurance, dividend/other withholding apply according to transactions, personnel and payments.
  • Foreign management, services and related parties require PE, treaty and transfer-pricing analysis.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • The capital-account/payment document and later operating account have independent AML/KYB decisions.
  • Minimum statutory capital does not replace evidence of adequate operating funding and Bulgarian/EU commercial rationale.

Annual obligations

  • Annual financial statements and required declarations are published/filed through the relevant state systems.
  • Annual corporate tax, VAT/payroll/social filings and accounting records.
  • Registry/UBO updates following changes to the manager, seat, ownership, capital or control.

Restrictions & risks

  • A DPK must not be used without reviewing employee/turnover/assets and other statutory eligibility limits.
  • Nominal €1 capital without documented funding may raise counterparty/bank concerns.
  • Incorporation does not disapply UBO disclosure, AML/KYC or sanctions screening by the registrar, notary, provider, tax authority or financial institution.
  • The place of incorporation does not automatically determine tax residence: effective management, permanent establishment, CFC rules and the owners' personal residence require separate analysis.
  • Registration does not grant a licence, residence or work rights and does not guarantee a bank or EMI account.

Scope of support

  • Coordination of the Registry Agency, QES/lawyer, Bulgarian address, capital, translations, UBO and accountant hand-off.
  • Comparison of entity forms, ownership structure, governance, tax links and substance requirements before filing.
  • Coordination of the address, notary, lawyer or authorised representative, translations, apostille and the corporate pack.
  • Preparation of a verifiable KYB data room and responses to legitimate compliance requests without promising a bypass, approval or timing.
  • Accountant hand-off and creation of an accounts, tax, VAT, payroll, UBO, licence and registry compliance calendar.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
