Price and scope

Custom quote

A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.

Remote formation for residents and non-residents

The client completes KYC remotely, but a licensed CSP/registered agent must form and administer the BVI legal person.

Via representative

For a resident

  • A BVI resident also files through a licensed agent; local operations may add trade, payroll, premises and licensing requirements.
  • Resident operations and local substance are documented separately from the registered-office service.

For a non-resident

  • A non-resident may own and manage the company subject to full ownership/control disclosure and CSP due diligence.
  • Corporate owners, trusts or layered structures require certified/apostilled records and tracing through to natural-person UBOs.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • VIRRGIN is not a public client self-service channel: the registered agent controls the filing.
  • Registry approval does not replace economic-substance, tax, licensing or bank-eligibility review.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • We verify the selected CSP in the BVI FSC register and prepare the BO/substance questionnaire before filing.
  • Before filing, we pre-check IDs, proof of address, tax residence, the UBO chart, source of funds/source of wealth and translations.
  • We reconcile names, addresses, dates, ownership, signatures and authority across forms to reduce returns and repeat KYC/KYB requests.
  • We prepare a verifiable description of the activity, markets, counterparties, expected flows and the commercial rationale for the jurisdiction.

Bank-ready onboarding

  • We select a bank/EMI only after confirming its acceptance of BVI entities, owner geography and activity.
  • We match the company profile to the selected bank or EMI's published and confirmed eligibility criteria before applying.
  • We assemble one data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and the payment-flow map.
  • We help address legitimate compliance questions but do not promise an expedited bypass of checks, a guaranteed account or a fixed onboarding time.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • Holding and joint-venture structures with a clear shareholder agreement and source of capital.
  • International trade or IP/asset ownership with adequate substance and tax analysis in operating countries.
  • Investment projects requiring a common-law corporate framework and professional registered-agent administration.

Main company types

  • A BVI Business Company limited by shares, the standard commercial form with shares and limited liability.
  • A company limited by guarantee, with or without shares, mainly for membership, nonprofit-like or specialist purposes.
  • An unlimited company, with or without shares, a rare specialist form selected only after legal and tax analysis.
  • A Limited Partnership, with or without legal personality, for selected fund, investment and joint-venture use cases.

Founders, directors & address

  • A licensed BVI trust and corporate services provider forms and administers the legal entity as registered agent.
  • A BVI registered agent and registered office are mandatory throughout the company's existence.
  • A Business Company must have at least one director; members, share classes, authority and reserved matters are recorded in constitutional and corporate documents.
  • The registered agent collects and maintains applicable director, member and beneficial-ownership information and makes required VIRRGIN filings.
  • Relevant activities require economic-substance classification and, where applicable, adequate people, premises, expenditure and reporting.

Documents & KYC

  • A passport or other acceptable ID for every founder, director, manager, signatory and ultimate beneficial owner (UBO).
  • Proof of residential address and tax residence; the registrar, agent, bank or other reviewer sets the document-validity period.
  • A transparent ownership chart through to natural persons and, for a corporate participant, registry documents, good standing and authorised resolutions.
  • A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • The name, business purpose, authorised shares/classes, ownership allocation, director appointments and governance rules.
  • The Memorandum and Articles, registered-agent consent, director/member resolutions and statutory registers.
  • An economic-substance questionnaire covering activity, jurisdictions, income, employees, premises and outsourced functions.

Formation process

  1. Determine the commercial purpose, form, ownership/governance, tax jurisdictions and economic-substance category.
  2. Select a licensed CSP in the BVI FSC register and complete its independent AML/KYC onboarding.
  3. Agree the name, Memorandum and Articles, directors, members, share classes and BO data; the agent files through VIRRGIN.
  4. After incorporation, issue resolutions/share records and establish the accounting-record, annual-return, BO and substance calendar.
  5. Bank or EMI onboarding starts as a separate application after preparing business evidence and the transaction-flow pack.

Indicative timeline

Registry filing through a CSP can be prompt once KYC is approved, but ownership-document preparation, enhanced due diligence, BO/substance analysis and banking have no guaranteed timeframe. The selected CSP confirms timing for the specific file.

Tax overview

  • BVI incorporation does not mean an absence of tax: outcomes depend on operations, effective management, owners, CFC rules and income-source jurisdictions.
  • Each company is classified under the Economic Substance Act; a relevant activity may require local substance and reporting.
  • BVI payroll, property, regulated-business fees or other local obligations arise where the relevant activity is actually carried on.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • A BVI company may approach a bank in BVI or another jurisdiction only if it meets that provider's entity, geography, activity and substance criteria.
  • CDD covers identity/address, business purpose, ownership/control, source of funds/source of wealth, sanctions, PEPs and expected activity.
  • The absence of a website, contracts, market nexus or demonstrable operations increases the likelihood of enhanced review or rejection.

Annual obligations

  • The government renewal fee and registered-agent/registered-office renewal.
  • The annual financial return is provided to the registered agent within the prescribed period, generally nine months after year-end unless an exemption applies.
  • Updates to registers of directors/members and required BO filings through the registered agent.
  • Economic-substance notification/reporting, accounting records and applicable tax-residence/CFC filings.

Restrictions & risks

  • Using a passive shell without a substantiated purpose, control and substance complicates CSP and banking compliance and may breach substance/tax rules.
  • Changing registered agent requires full transfer/KYC and record delivery; unpaid fees or incomplete filings may cause loss of good standing.
  • Incorporation does not conceal ownership or disapply AML/KYC. Registered agents, registries, tax authorities and financial institutions may obtain and verify UBO information.
  • The place of incorporation does not automatically determine tax residence. Effective management, permanent establishment, CFC, withholding and the owners' personal residence require separate analysis.
  • Company registration does not grant a regulated-activity licence, immigration status or a bank account.

Scope of support

  • CSP licence verification and coordination of incorporation/VIRRGIN, BO filings and economic-substance classification.
  • Comparison of entity forms, ownership structure, tax links and substance requirements before filing.
  • Coordination of the registered agent, notary or local representative, translations, apostille and the complete corporate file.
  • Preparation of a bank-ready KYB data room and responses to legitimate compliance requests; approval and timing remain with the bank or EMI.
  • Accountant hand-off and creation of an annual-return, BO, tax, licence and substance compliance calendar.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
