Price and scope
Custom quote
A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.
Remote formation for residents and non-residents
Preparation and filing can be coordinated remotely, but a non-resident acts through a Brazil-resident representative and local registry/tax professionals.
For a resident
- A Brazil resident uses a local CPF/digital certificate and follows the municipality/state REDESIM/commercial-registry workflow.
- A resident setup does not remove accountant, CNPJ, licensing, BO or sector checks.
For a non-resident
- A non-resident may own an LTDA/S.A. subject to sector restrictions and appoints a Brazil-resident power-of-attorney representative.
- Foreign documents require approved apostille/legalisation, sworn translation and current entity/authority evidence.
Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.
REMOTE-PROCESS LIMITS
- Fully self-service filing by a foreign owner is generally unavailable without local identifiers/a representative.
- A branch, regulated sectors, licences, a digital certificate and banking may require additional local steps.
KYC/KYB and bank-onboarding preparation
PREPARATION / CONSISTENT PACK
We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.
Verification pre-check
- We reconcile translated power-of-attorney, commercial-registry act, CNPJ, e-BEF/BO and representative data across every authority.
- Before filing, we pre-check IDs, proof of address, tax residence, the UBO chart, source of funds/source of wealth and translations.
- We reconcile names, addresses, dates, ownership, signatures and authority across forms to reduce returns and repeat KYC/KYB requests.
- We prepare a verifiable description of the activity, markets, counterparties, expected flows and the commercial rationale for the jurisdiction.
Bank-ready onboarding
- The banking pack is prepared after confirming the CNPJ, CNAE, address, licences and Brazil administrator/signatory setup.
- We match the company profile to the selected bank or EMI's published and confirmed eligibility criteria before applying.
- We assemble one data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and the payment-flow map.
- We help address legitimate compliance questions but do not promise an expedited bypass of checks, a guaranteed account or a fixed onboarding time.
Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.
Who it suits
- Local operating subsidiaries for sales, e-commerce, services, manufacturing or employees in Brazil.
- A single-owner or closely held business suited to the flexibility of a Sociedade Limitada.
- A larger equity/investment structure for which S.A. governance, capital and publication rules are justified.
Main company types
- A Sociedade Limitada (LTDA), the most common limited-liability form, permitting one or more quotaholders.
- A Sociedade Anônima (S.A.), closed or listed/open, a share corporation for more complex capital raising and governance.
- A Sociedade Simples, a form for selected professional/intellectual activities registered through the relevant civil-registry route.
- A branch of a foreign company in Brazil, requiring prior federal authorisation.
Founders, directors & address
- The REDESIM workflow covers viability, entity registration/CNPJ and licences; the relevant commercial registry and municipality determine local steps.
- A foreign/non-resident shareholder or administrator grants a power of attorney to a representative resident in Brazil for statutory service and acts.
- Foreign documents undergo apostille/consular legalisation where applicable and sworn translation into Portuguese.
- A Brazilian registered/business address, qualified business codes, administrator, capital allocation and digital-signature/representative filing route are required.
- CNPJ/CPF/CDNR and beneficial-owner registrations depend on the status of the foreign individual/entity and current Receita Federal rules.
- Regulated sectors, foreign land/media/financial restrictions, environmental, health and import activity require separate eligibility/licensing review.
Documents & KYC
- A passport or other acceptable ID for every founder, director, manager, signatory and ultimate beneficial owner (UBO).
- Proof of residential address and tax residence; the registrar, agent, bank or other reviewer sets the document-validity period.
- A transparent ownership chart through to natural persons and, for a corporate participant, registry documents, good standing and authorised resolutions.
- A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
- Viability data: municipality/address, business activities (CNAE), name, entity type, capital, quotas/shares and administrator.
- The Contrato Social for an LTDA or Estatuto/formation resolutions for an S.A., together with representative powers and filings.
- Apostilled foreign passport/entity records, good standing/incumbency, board resolution/power of attorney and sworn Portuguese translations.
- Beneficial-owner/e-BEF information, foreign-investment data and source-of-capital evidence under applicable Receita/BCB rules.
Formation process
- Select an LTDA, S.A., Sociedade Simples or branch and review foreign-investment/sector restrictions and the tax regime.
- Appoint a Brazil-resident representative, approve the power-of-attorney/apostille/translation route and obtain required foreign-party identifiers.
- Complete municipal viability, prepare the corporate act and file with the commercial/appropriate registry through REDESIM.
- Obtain the CNPJ and establish state/municipal tax, licensing, digital certificates, accounting, payroll and foreign-investment reporting.
- The bank application starts after the corporate/tax stack and administrator/signatory authority are in place.
Indicative timeline
Viability, foreign-document legalisation/translation, commercial-registry/CNPJ and municipal/sector licences have different timelines by state and city. Branch authorisation and banking take a separate variable period; no fixed launch time is promised.
Tax overview
- Selection of a Brazilian tax regime depends on entity, activity, revenue, ownership and eligibility; a local accountant determines corporate-income/social-contribution and indirect taxes.
- PIS/COFINS, ICMS, ISS, IPI, payroll/social charges, customs and withholding apply according to the product/service and transaction flow.
- Capitalisation, loans, dividends, royalties/services and related-party transactions require BCB, transfer-pricing, thin-capitalisation and withholding review.
General overview, not personal tax or legal advice. Rules are rechecked before filing.
Banking & payment onboarding
- A bank/fintech reviews the CNPJ, corporate act, administrator/representative, local address, UBOs, foreign tax IDs and source of investment.
- Operational readiness is evidenced by invoices/contracts, website, CNAE/licences, counterparties and projected BRL/FX flows.
- A provider may require a Brazil-resident signatory, video or in-person verification; a CNPJ alone does not guarantee an account.
Annual obligations
- Full statutory bookkeeping and federal, state and municipal tax/reporting obligations through a local accountant.
- Corporate approvals, quota/share and administrator changes, books/publications for an S.A. and registry updates according to form.
- Payroll, labour, social-security, licensing, environmental/customs filings according to operations.
- Foreign-investment/BCB reports and Receita Federal beneficial-owner/e-BEF updates for applicable statuses, events and thresholds.
Restrictions & risks
- Registering an LTDA without concurrent accounting, tax, digital-certificate and municipal setup can leave the company unable to invoice/operate lawfully.
- An outdated power of attorney/representative or incomplete foreign-owner identification can block registry, Receita, BCB or bank procedures.
- Incorporation does not conceal ownership or disapply AML/KYC. Registered agents, registries, tax authorities and financial institutions may obtain and verify UBO information.
- The place of incorporation does not automatically determine tax residence. Effective management, permanent establishment, CFC, withholding and the owners' personal residence require separate analysis.
- Company registration does not grant a regulated-activity licence, immigration status or a bank account.
Scope of support
- Coordination of the Brazil representative, commercial registry/REDESIM, sworn translation, CNPJ and accountant/licensing hand-off.
- Comparison of entity forms, ownership structure, tax links and substance requirements before filing.
- Coordination of the registered agent, notary or local representative, translations, apostille and the complete corporate file.
- Preparation of a bank-ready KYB data room and responses to legitimate compliance requests; approval and timing remain with the bank or EMI.
- Accountant hand-off and creation of an annual-return, BO, tax, licence and substance compliance calendar.
The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
