Price and scope

Custom quote

A fixed price is not published for this jurisdiction: we first assess founder citizenship and residence, activity, any mandatory local director, licences and the current partner tariff.

Remote formation for residents and non-residents

Registry filing is online through OBRS, but a foreign participant must work through a licensed Registered Agent.

Via representative

For a resident

  • A Belizean applicant uses OBRS through the available resident route and completes local tax/licensing requirements.
  • Local operations require evidence of premises/activity and are not limited to electronic incorporation.

For a non-resident

  • Any foreign participant routes the filing through a licensed RA and discloses ownership/control through to natural-person UBOs.
  • Certified/apostilled corporate-chain documents and translations are agreed with the RA before filing.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • OBRS availability does not allow a non-resident to bypass the RA or its KYC.
  • Regulated activity, tax registration, licences and bank onboarding remain separate processes.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • We verify the RA licence and BO threshold/control analysis before preparing the OBRS submission.
  • Before filing, we pre-check IDs, proof of address, tax residence, the UBO chart, source of funds/source of wealth and translations.
  • We reconcile names, addresses, dates, ownership, signatures and authority across forms to reduce returns and repeat KYC/KYB requests.
  • We prepare a verifiable description of the activity, markets, counterparties, expected flows and the commercial rationale for the jurisdiction.

Bank-ready onboarding

  • A bank is selected only after reviewing entity/geography/activity acceptance and the complete Belize corporate/KYB pack.
  • We match the company profile to the selected bank or EMI's published and confirmed eligibility criteria before applying.
  • We assemble one data room covering corporate documents, UBO/KYC, website, contracts, invoices, source of funds and the payment-flow map.
  • We help address legitimate compliance questions but do not promise an expedited bypass of checks, a guaranteed account or a fixed onboarding time.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • An owner-managed international service or trading business with genuine contracts, counterparties and tax analysis.
  • A closely held holding or joint-venture structure with clear ownership/control and licensed RA support.
  • A partnership or specialist structure after reviewing legal, regulatory and tax treatment.

Main company types

  • A private company limited by shares, the standard commercial form under the Belize Companies Act 2022.
  • A company limited by guarantee, with or without shares, and an unlimited company, membership or specialist alternatives.
  • A Limited Liability Partnership (LLP), a separate partnership vehicle for professional, joint-venture or investment arrangements.
  • Foreign-company registration for an existing overseas legal entity operating in Belize.
  • Segregated Portfolio, Special Purpose and Private Trust Companies, specialist forms subject to separate eligibility/regulatory review.

Founders, directors & address

  • Incorporation and annual filings are made through the Belize Online Business Registry System (OBRS).
  • Where a non-Belizean participates in the structure, BCCAR requires the use of a licensed Registered Agent.
  • The company maintains a registered office/agent and constitutional/statutory records as required by its form and the Companies Act.
  • The BO is traced to a natural person, generally based on ownership above 25% or other effective control; information must remain current.
  • Financial services, securities, insurance, trust, virtual assets and other regulated activity requires FSC/licensing review.

Documents & KYC

  • A passport or other acceptable ID for every founder, director, manager, signatory and ultimate beneficial owner (UBO).
  • Proof of residential address and tax residence; the registrar, agent, bank or other reviewer sets the document-validity period.
  • A transparent ownership chart through to natural persons and, for a corporate participant, registry documents, good standing and authorised resolutions.
  • A description of the product, markets, counterparties, expected turnover, source of funds and source of wealth, supported by evidence.
  • Name-reservation data, entity type, registered agent/office, capital or guarantee, directors/managers and ownership allocation.
  • The Memorandum and Articles or LLP agreement, consents, initial resolutions and statutory registers.
  • For a corporate owner, certified formation, incumbency/good standing and board authority; the RA confirms apostille/translation requirements.

Formation process

  1. Select a company, LLP, foreign registration or specialist form and review tax/licensing consequences.
  2. A foreign participant selects an FSC-licensed Registered Agent and completes its independent KYC/AML.
  3. Agree the name, constitutional terms, roles, capital/interests and BOs; the RA files through OBRS.
  4. After incorporation, obtain the corporate file and establish registers, accounting records, the annual return and BO updates.
  5. Tax, licensing and banking workstreams begin according to operations; a bank account is not an OBRS service.

Indicative timeline

OBRS filing is electronic but starts after RA approval. Certified ownership documents, enhanced KYC, regulated activity, registry queries and banking can extend the total time; it is confirmed for each case and not guaranteed.

Tax overview

  • Belize incorporation does not mean tax exemption: domestic/international activity, income source, residence, licensing and current tax rules require separate analysis.
  • Local business may create business/income tax, GST, payroll, social-security and municipal/licensing duties.
  • Foreign management and ownership may create tax residence, CFC or reporting in another country notwithstanding Belize registration.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • A local or foreign bank independently reviews BOs, activity, geography, source of funds/wealth, tax residence and the expected transaction pattern.
  • The FSC expressly notes that a bank performs its own due diligence and independently approves or rejects the client.
  • The RA can prepare a certified corporate pack, but its onboarding is not bank pre-approval.

Annual obligations

  • The annual return is filed through OBRS and maintains the company's active/good-standing status.
  • The government/registry fee and renewal of the licensed Registered Agent/registered office.
  • BOs, directors/managers, members/shareholders and registered details are updated when changes occur.
  • Accounting records, tax returns, licensing/economic-substance and payroll filings apply according to activity/status.

Restrictions & risks

  • An attempt by a foreign participant to file directly instead of using the required Registered Agent follows the wrong filing route.
  • An international label does not remove annual-return, BO, records, tax or economic-substance duties.
  • Incorporation does not conceal ownership or disapply AML/KYC. Registered agents, registries, tax authorities and financial institutions may obtain and verify UBO information.
  • The place of incorporation does not automatically determine tax residence. Effective management, permanent establishment, CFC, withholding and the owners' personal residence require separate analysis.
  • Company registration does not grant a regulated-activity licence, immigration status or a bank account.

Scope of support

  • Verification of the Belize FSC licence, coordination of the Registered Agent/OBRS and preparation of annual-return/BO setup.
  • Comparison of entity forms, ownership structure, tax links and substance requirements before filing.
  • Coordination of the registered agent, notary or local representative, translations, apostille and the complete corporate file.
  • Preparation of a bank-ready KYB data room and responses to legitimate compliance requests; approval and timing remain with the bank or EMI.
  • Accountant hand-off and creation of an annual-return, BO, tax, licence and substance compliance calendar.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
