Remote formation for residents and non-residents

For a foreign founder, the baseline practical route uses a notarised power of attorney and filing by a representative with the State Tax Service. Electronic filing depends on the investment category, local electronic identity and officer requirements.

Via representative

For a resident

  • A person with locally registered residence and an enhanced electronic signature may satisfy the conditions of the relevant electronic LLC route.
  • A local representative confirms the applicable channel, legal address, notarisation and collection of the result.

For a non-resident

  • A foreign participant provides legalised or apostilled corporate documents, or a passport and the specific evidence of economic activity required for an individual.
  • The representative acts only within the power of attorney; a foreign manager's immigration and employment status is handled separately.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • Remote preparation does not remove notarisation, apostille or legalisation, translations and sector approvals.
  • A bank, regulator or electronic system may require a local signature, video identification or personal attendance.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • Before filing, we reconcile passports, residential addresses, tax residence, the ownership chain and beneficial-owner data across all documents.
  • For a foreign corporate participant, we prepare a current registry extract, constitutional documents, resolution, ownership chart, apostille or legalisation and the required translations.
  • Before incorporation, we review the proposed activity, foreign-ownership restrictions, licensing requirements and the place of effective management.

Bank-ready onboarding

  • Company registration neither includes nor guarantees a bank or payment account.
  • A financial institution independently reviews UBOs, source of wealth and funds, the business model, counterparties, payment countries, address, licences and the economic link to the jurisdiction.
  • A bank may request originals, video identification or personal attendance by a director or UBO and may decline the application; approval and timing remain at the bank's discretion.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • Trading, IT, consulting, logistics, manufacturing and unregulated services with genuine activity in Azerbaijan.
  • A subsidiary of a foreign group with documented ownership and funding.
  • Projects prepared to maintain a legal address, tax accounting, permits and evidence of an operating link to the country.

Main company types

  • A limited liability company (LLC or MMC) is the standard private operating form with one or more participants.
  • A joint-stock company is an open or closed share-capital structure with separate capital and governance requirements.
  • General or limited partnerships and cooperatives are available forms with different liability and governance, used less often by foreign investors.
  • A branch of a foreign commercial organisation is an establishment of the parent without separate legal personality.
  • A representative office of a foreign commercial organisation represents the parent and is not a separate limited-liability company.

Founders, directors & address

  • A foreign-invested LLC requires one or more founders, a charter, a resolution on incorporation and governing bodies, a manager and a documented legal address.
  • No general minimum charter capital applies to an ordinary LLC; separate minima and pre-approvals apply to banks, insurance, non-bank finance and other regulated organisations.
  • The State Tax Service model charter provides for capital contribution within three months after registration where the applicable charter version permits payment after filing.
  • The official foreign-investment paper route does not state a general manager-residence rule; for electronic registration of a locally invested LLC, officers must be registered at a place of residence in Azerbaijan.
  • A foreign manager's immigration, employment and tax position is reviewed separately when working physically in Azerbaijan.
  • State registration and a tax number do not replace a sector licence, regulator pre-consent or work authorisation.

Documents & KYC

  • A notarised application, founder details, two copies of the charter and a resolution on incorporation, charter approval and formation of governing bodies.
  • For a foreign legal entity, notarised copies of its registry extract and charter, legalised or apostilled under the applicable rules, with translation.
  • For a foreign individual, a passport and the official service's required evidence of engagement in economic activity in any country, duly formalised.
  • Evidence of legal address, manager and UBO details, and proof of capital payment or a charter clause permitting later payment.
  • An independent auditor's valuation for a non-cash contribution and the relevant regulator's pre-consent for specified financial sectors.
  • A notarised power of attorney where an attorney signs or submits the application.

Formation process

  1. Review the activity, foreign ownership, form, restrictions, licensing, regulator consent, tax and immigration model.
  2. Agree the name, legal address, participants, manager, capital, charter, activities and UBO chain.
  3. Obtain foreign extracts and resolutions, apostille or legalisation, notarised translations and execute the power of attorney.
  4. The representative files the complete foreign-investment package with the State Tax Service through the applicable paper or available electronic channel.
  5. After the registry result, establish corporate registers, tax and employment compliance, licences, permits and notifications.
  6. Banking KYB starts under a separate application with UBO, source-of-funds, contracts, address and operating rationale.

Indicative timeline

The State Tax Service states that a foreign-invested commercial organisation is registered no later than two days after a complete and valid filing. Preparation, apostille, translations, the power of attorney, cures, licences, immigration and banking KYB are excluded.

Tax overview

  • The official tax guide describes the standard profit-tax, VAT, withholding and payroll framework; applicable rates and the regime are confirmed at launch.
  • One-stop tax registration does not remove returns, electronic invoicing, cash-register and sector obligations arising from actual transactions.
  • Management from another country, non-resident payments, imports and intra-group transactions require analysis of residence, PE, the relevant tax treaty, withholding and transfer pricing.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • Banks review the manager, UBOs, source of capital and funds, legal address, local contracts, licences and expected payment flows.
  • Foreign investment, a remote manager or a complex ownership chain may trigger enhanced due diligence and in-person or video identification.

Annual obligations

  • Maintain accounting and tax records, retain source and corporate documents and file applicable returns and financial statements.
  • Keep registered details on the name, address, manager, form, founders and beneficial owners current.
  • Document participant decisions and changes to the charter, capital and governing bodies and file changes within prescribed periods.
  • Renew licences, immigration and employment permits and complete sector reporting where applicable.

Restrictions & risks

  • Electronic LLC registration for local investment has separate officer-residence conditions and must not be assumed to apply unchanged to a foreign-investment case.
  • The two-day period covers only registry processing of a complete and valid package, not the entire business launch.
  • Registration does not replace regulator pre-consent, a sector licence or a foreigner's right to work and reside in the country.
  • A formal address, undisclosed UBO or inconsistencies in legalised documents may lead to refusal, delay or banking rejection.

Scope of support

  • Select an LLC, JSC, branch or representative office and review foreign ownership, licensing, capital and tax.
  • Prepare the charter, resolutions, address pack, UBO data, apostille or legalisation, translations and power of attorney.
  • Coordinate registry filing and post-registration specialists and prepare bank-ready KYB without guaranteeing a licence or account.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
