Company formation in Armenia

Armenia offers a clear LLC and JSC framework and an electronic registry, but foreign founders generally use a documentary filing through an authorised local representative rather than the instant citizen workflow, with translation and legalisation where required.

Remote formation for residents and non-residents

Foreign founders can start remotely through an authorised Armenian representative, but foreign-document authentication, translation and registry verification remain case-specific. The instant electronic route is not a universal non-resident promise.

Via representative

For a resident

  • A local registered address is required; a general resident-director condition is not advertised for the ordinary LLC route.
  • A local representative can file under a valid power of attorney but does not replace the director's or UBO's legal responsibilities.

For a non-resident

  • Foreign individuals and companies may own an Armenian LLC subject to KYC, document acceptance and any activity-specific restrictions.
  • Foreign corporate documents and powers of attorney commonly require authentication and Armenian translation before filing.

Important: a non-resident's right to own the company does not automatically grant a right to live, work or manage it from that country. Immigration, work permits, substance, effective management and tax residence are assessed separately.

REMOTE-PROCESS LIMITS

  • Remote preparation does not guarantee same-day registration, tax-regime eligibility, licence issuance or a bank account.
  • The registry, notary, provider or bank may request originals, revised wording, video identification or attendance.

KYC/KYB and bank-onboarding preparation

PREPARATION / CONSISTENT PACK

We do not bypass compliance. We prepare one consistent pack in advance so the review can proceed with fewer avoidable loops and duplicate uploads.

Verification pre-check

  • Before filing, we reconcile passports, residential addresses, tax residence, the ownership chain and UBO data across all documents.
  • For a corporate shareholder, we prepare the registry extract, constitutional documents, resolution, ownership chart, apostille or legalisation and translations where required.
  • We complete an activity and licence pre-check before address, local-officer or government fees are committed.

Bank-ready onboarding

  • Company registration neither includes nor guarantees a bank or payment account.
  • The bank independently reviews UBOs, source of wealth/funds, activity, markets, counterparties, address, licences and the economic link to the jurisdiction.
  • A financial institution may request originals, video verification or personal attendance and may decline; approval and timing remain entirely at its discretion.

Timing depends on data completeness, business risk and provider workload. CrystalCore cannot guarantee an account, decision time or approval by any particular bank/EMI.

Who it suits

  • Technology, software, consulting, trade and regional operating businesses with genuine commercial rationale.
  • Wholly owned subsidiaries and joint ventures for foreign founders or corporate groups.
  • A foreign-company branch where intentionally keeping the overseas parent directly liable is appropriate.

Main company types

  • Limited Liability Company (LLC) is the standard private operating form for one or more participants.
  • A Joint-Stock Company, open or closed, for projects requiring shares, more formal governance or a broader capital model.
  • A branch of a foreign legal entity, a registered Armenian subdivision without separate legal personality.
  • A representative office, a limited representation or support presence that should not replace an operating company where commercial activity is intended.

Founders, directors & address

  • An LLC may have an individual or corporate participant, including foreign persons; ownership, contributions and governance are fixed in the charter and resolutions.
  • The ordinary LLC framework does not state a general local-resident-director condition; director identity, authority, immigration, employment and tax-management consequences require review against the actual model.
  • An Armenian registered address suitable for official notices and record keeping is required; a marketed virtual address must not replace real company availability.
  • Charter capital and contribution mechanics follow the selected form and charter; regulated sectors may impose extra capital, officer or premises requirements.
  • Licensable activity, tax registration, employment and operational permits are separate from state registration of the entity.

Documents & KYC

  • Passport, residential address, contact and tax-residence data for founders, the director, representative and UBOs.
  • Proposed name, registered address, detailed activities, charter, incorporation decision or minutes, ownership allocation and director appointment.
  • For a foreign corporate founder, a current registry extract, constitutional documents, board resolution, ownership chart and signatory authority.
  • A power of attorney for local filing, Armenian translations and apostille, legalisation or other certification where required by the registry or document origin.
  • Beneficial-owner declaration data and supporting ownership-chain evidence.

Formation process

  1. Choose an LLC, JSC, branch or representative office and complete activity, licensing and tax-residence pre-checks.
  2. Settle the name, registered address, founders, capital, governance, director and UBO chain.
  3. Prepare the charter, resolutions, power of attorney and foreign corporate documents, then translate and authenticate them as applicable.
  4. An authorised representative submits the formation file and responds to registry clarification; citizen-only instant templates are not presented as a foreign-founder guarantee.
  5. After registration, complete tax and accounting setup, beneficial-owner filing, employment and sector permissions as required.
  6. Bank or payment onboarding follows as a separate application based on business evidence and founder KYB.

Indicative timeline

The official e-register includes fast standard services for eligible Armenian electronic-ID users, but that speed must not be advertised as the foreign non-resident timeline. For foreign founders, document collection, apostille or legalisation, Armenian translation, power-of-attorney delivery and registry questions usually determine the schedule. Banking, licences, tax activation and immigration are post-registration tracks with their own timing and approval criteria.

Tax overview

  • Registry formation and eligibility for any Armenian tax regime are separate questions; turnover, activity, group links, employees and residence can change the result.
  • Before launch, model corporate income tax, VAT or turnover treatment, payroll, withholding, permanent establishment and transfer pricing against current law.
  • Foreign founders separately assess personal residence, dividend and controlled-foreign-company consequences in every relevant country.

General overview, not personal tax or legal advice. Rules are rechecked before filing.

Banking & payment onboarding

  • Company registration neither includes nor guarantees a bank or payment account.
  • The bank independently reviews UBOs, source of wealth/funds, activity, markets, counterparties, address, licences and the economic link to the jurisdiction.
  • A financial institution may request originals, video verification or personal attendance and may decline; approval and timing remain entirely at its discretion.
  • Bankability improves with an Armenian operating rationale, contracts, a local team or counterparties, transparent source of funds and a consistent tax story.
  • A representative can prepare and coordinate the file, but each bank decides whether remote identification is available and may require attendance.

Annual obligations

  • Maintain accounting and tax records, file applicable returns and financial statements, and retain evidence supporting transactions and payroll.
  • Submit beneficial-owner information after formation and update or confirm it within current statutory windows; deadlines are rechecked at onboarding rather than hard-coded into a sales promise.
  • Register changes to the charter, address, director, participants and capital promptly through the prescribed registry procedure.
  • Licensed or employment-heavy businesses maintain separate sector, payroll and permit renewals.

Restrictions & risks

  • Treating a citizen-only instant online route as proof that every foreign founder can incorporate instantly creates document and delivery risk.
  • Incorrect apostille or legalisation, translation or power-of-attorney wording can cause rejection or repeat filing.
  • A registered shell without operational rationale may face banking, tax-residence and substance questions.
  • Activity descriptions must not conceal regulated financial, gambling, crypto or other licensable services.

Scope of support

  • LLC, JSC or branch route selection and a foreign-founder document matrix.
  • Coordination of the registered address, charter, resolutions, power of attorney, translation, authentication and registry filing.
  • Post-formation beneficial-owner, accounting, tax, licence and bank-readiness hand-off without approval promises.

The exact Basic scope and all exclusions are listed in the pricing section above. Non-standard structures and external costs are agreed before payment.
