The Polish Sp. z o.o. is a popular way into the EU market: PLN 5,000 minimum capital, a clear tax system and strong banks. A ready-made company is already registered in KRS and often has an open account; a crypto company also has a VASP registration.
Two kinds of ready-made companies
| Sp. z o.o. with an account | VASP company | |
|---|---|---|
| For | Trade, services, IT, marketing | Crypto exchange and custody |
| Included | PKO, BNP Paribas or other accounts | VASP registration, AML documents, exchange accounts |
| Main risk | Bank KYC for the new owner | Transition to MiCA rules |
VASP and MiCA
MiCA applies across the EU: crypto services need CASP authorisation, and national VASP registrations only work during the transitional period set by each country. Before a purchase we check the registration's current status and what CASP authorisation would require.

- update KRS and the CRBR beneficial-owner register;
- change bank signatories.
Can a Polish company be bought fully online?
If the company was formed in the S24 system, the share transfer can be done online with a qualified e-signature. Otherwise a notary or a power of attorney is needed.
What tax does a Polish Sp. z o.o. pay?
The standard CIT rate is 19%, with a reduced rate for small taxpayers. The alternative "Estonian CIT" regime is also available.
