APPROACH

Legal logic first, documents second

A company transfer is not a single signature. Legal title to shares, approvals, registry, UBO, officers, records, access, accounting and notices must be synchronised. Before execution, we distinguish a share transfer from an asset transfer and define the review scope.

A bank account, licence, merchant account or contract does not automatically transfer because ownership changed. A provider may require prior consent, renewed KYC/KYB or terminate service. Historic liabilities generally remain with the legal entity after a share transfer.

CrystalCore coordinates preparation and process, but does not replace local legal or tax counsel, a registry, a bank or a public authority. Final requirements and decisions depend on the jurisdiction and independent review.

WHEN IT FITS

Scenarios that need a controlled route

Acquiring a ready company

The buyer takes shares in an existing entity after checking status, history and handover scope.

Shareholder exit

A holding passes to a shareholder or third party subject to pre-emption, consent and filing rules.

Investment and cap table

An investor enters through transfer or issuance, with corporate rights and UBO records aligned.

Restructuring

The entity moves under a holding or changes control, directors, address or corporate model.

DELIVERY SCOPE

What the engagement covers

01

Change map

We define changes to shares, capital, directors, UBO, address, activity and constitutional documents.

02

Pre-check and due diligence

We review good standing, registry, filings, tax, debt, disputes, assets, contracts, licences and available evidence.

03

Transfer documents

We coordinate the SPA or transfer form, waivers, consents, resolutions, registers, certificates and updated constitutional documents.

04

Registry and UBO filings

Mandatory ownership, control, officer, address and other changes are filed within applicable deadlines.

05

Handover and third parties

We inventory records and access, prepare change-of-control/KYB notices and track evidence without promising bank or provider consent.

GUARDRAILS

What we verify before starting

  • Company price and transaction consideration are kept separate from advisory fees, filing charges and third-party costs.
  • Due diligence reduces uncertainty but is limited by available records, the selected scope and independent sources.
  • Historic debt, tax, disputes and non-compliance may remain with the legal entity after a share transfer.
  • Completion is not final without the agreed signatures, registry evidence and handover proof.

FAQ

Before documents are signed

01How does a share transfer differ from an asset transfer?

In a share transfer, ownership changes while assets and liabilities generally remain inside the entity. An asset transfer moves selected assets or contracts and often needs separate consents, tax analysis and formalities.

02Do liabilities stay with the company?

In a share acquisition, the legal entity retains obligations even when owner and director change. Review scope, warranties, indemnities and price mechanics should match the risk.

03Can the bank account be transferred?

The account belongs to the company, but change of control almost always requires notice and renewed KYC/KYB. The bank may restrict activity, request documents or close the account; continuation is not guaranteed.

04How long does a transfer take?

Timing depends on the GEO, change type, record completeness, notarisation, party KYC and registry speed. A realistic timeline follows the pre-check and dependency map.
